INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (the “Agreement”) is made and entered into as of this [___] day of [___________], 20[___] (the “Effective Date”), by and between:

1. SERVICES TO BE PERFORMED

2. TERM

4. INDEPENDENT CONTRACTOR STATUS

Contractor is solely responsible for all federal, state, and local taxes, as well as Social Security and Medicare withholdings, related to the compensation received under this Agreement. Contractor shall not be entitled to any employee benefits, including but not limited to health insurance, retirement plans, or paid leave.

5. CONFIDENTIALITY

Contractor acknowledges that during the course of performing the Services, they may have access to confidential information of the Company. Contractor agrees to hold all such information in strict confidence and shall not disclose, copy, or use such information for any purpose outside the scope of this Agreement without the prior written consent of the Company.

6. WORK PRODUCT

All work products, deliverables, and materials created by the Contractor specifically for the Company under this Agreement shall be considered "work made for hire" and shall become the sole and exclusive property of the Company upon payment of the agreed-upon compensation.

7. TERMINATION

Either party may terminate this Agreement at any time upon [___] days' written notice to the other party. In the event of early termination, the Company shall pay the Contractor for all Services performed up to the effective date of termination.

8. GOVERNING LAW

9. ENTIRE AGREEMENT
