3. SUBSTANTIVE TERMS & OBLIGATIONS
Section 3.1. Grant of Sublease
Sublessor hereby subleases to Sublessee, and Sublessee hereby hires and takes from Sublessor, the Premises, subject to the terms, covenants, and conditions of this Sublease and the Master Lease.
Section 3.2. Term
The Term of this Sublease shall commence on the Commencement Date and shall expire on the Expiration Date, unless terminated earlier pursuant to the provisions of this Sublease or operation of law. Sublessee shall take possession of the Premises on the Commencement Date in its "AS-IS" condition, subject to reasonable wear and tear, and without any obligation on the part of Sublessor to make any alterations, repairs, or improvements.
Section 3.3. Rent and Payment Obligations
- Base Rent: Sublessee shall pay to Sublessor Base Rent in the amount of ________________________ DOLLARS ($__________________) per month, payable in lawful money of the United States, without offset, deduction, or demand, on or before the first (1st) day of each calendar month during the Term. Rent for any partial month shall be prorated on a per diem basis.
- Method of Payment: Rent shall be paid via electronic funds transfer (ACH/wire transfer), or by check made payable to Sublessor and delivered to Sublessor’s designated address set forth herein, or as otherwise directed in writing by Sublessor.
- Late Charges & Returned Checks: If any installment of Base Rent or Additional Rent is not received by Sublessor within five (5) calendar days after the date it becomes due, Sublessee shall pay a late charge equal to the greater of ________________________ DOLLARS ($) or five percent (5%) of the overdue amount to cover administrative costs. Furthermore, any check returned for insufficient funds shall incur a processing fee of ________________________ DOLLARS ($).
Section 3.4. Security Deposit
- Deposit and Holding: Concurrently with the execution of this Sublease, Sublessee shall deposit with Sublessor the Security Deposit. Sublessor shall hold the Security Deposit in accordance with New York General Obligations Law § 7-108 (or applicable New York rent stabilization laws, if applicable). If Sublessor deposits the funds in an interest-bearing account, any interest earned, less administrative fees permitted by law, shall be handled in accordance with statutory mandates.
- Application and Return: Upon the expiration or termination of this Sublease and the vacating of the Premises by Sublessee, Sublessor may apply the Security Deposit to remedy any Default by Sublessee, to repair damage caused by Sublessee, or to cover unpaid Rent. Within fourteen (14) days (or such period mandated by New York law) after Sublessee vacates the Premises, Sublessor shall return the unused portion of the Security Deposit, accompanied by an itemized statement detailing any deductions.
Section 3.5. Use and Occupancy
The Premises shall be used and occupied exclusively for ________________________________________ [Insert Permitted Use, e.g., general executive office purposes / residential residential occupancy] and for no other purpose whatsoever. Sublessee shall not use, store, or permit the use or storage of any hazardous, toxic, or flammable materials on the Premises in violation of applicable New York City or State laws, codes, or regulations. Sublessee shall comply with all applicable laws, ordinances, rules, and regulations of federal, state, and municipal governments, including the New York City Building Code and Housing Maintenance Code.
Section 3.6. Incorporation of Master Lease Terms
- Pass-Through Obligations: This Sublease is subordinate to the Master Lease. Except as otherwise expressly provided herein, the terms, covenants, and conditions of the Master Lease are incorporated into and made a part of this Sublease as if every reference in the Master Lease to "Landlord" meant Sublessor, and every reference to "Tenant" meant Sublessee.
- Conflict Resolution: In the event of any direct conflict between the terms and provisions of the Master Lease and the terms and provisions of this Sublease, the strict terms of this Sublease shall govern as between Sublessor and Sublessee, provided that nothing herein shall be construed to expand the rights of Sublessee beyond those granted to Sublessor under the Master Lease. Sublessee expressly acknowledges receipt of the Master Lease and agrees to perform all obligations of the tenant thereunder to the extent applicable to the Premises.
Section 3.7. Maintenance, Repairs, and Alterations
- Sublessee Maintenance: Sublessee shall keep the interior of the Premises in a clean, safe, and sanitary condition, and shall promptly repair any damage caused by the acts, omissions, negligence, or misconduct of Sublessee, its agents, employees, invitees, or guests.
- Alterations: Sublessee shall not make any structural alterations, additions, or improvements to the Premises without the prior written consent of both Sublessor and Master Landlord. All non-structural alterations shall comply with all New York City building and safety codes.
Section 3.8. Assignment and Subletting
Sublessee shall not further assign, transfer, mortgage, pledge, or encumber this Sublease, nor sublet the whole or any part of the Premises, nor grant any license or concession for the use of the Premises, without obtaining the prior written consent of both Sublessor and Master Landlord, which consent may be granted or withheld in their respective sole and absolute discretions. Any attempted assignment or sublease without such required consents shall be utterly void ab initio and shall constitute an immediate material Default hereunder.
Section 3.9. Insurance and Indemnification
- Sublessee's Insurance: Sublessee shall, at its sole cost and expense, maintain throughout the Term commercial general liability insurance covering the Premises, with minimum liability limits of not less than ________________________ DOLLARS ($) per occurrence and ________________________ DOLLARS ($) in the aggregate, naming Sublessor and Master Landlord as additional insureds.
- Indemnification: To the fullest extent permitted by New York law, Sublessee shall defend, indemnify, and hold harmless Sublessor and Master Landlord from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any breach or default by Sublessee under this Sublease; (b) any negligence or willful misconduct of Sublessee, its employees, agents, or invitees; or (c) any injury to persons or damage to property occurring on or about the Premises during the Term, except to the extent caused by the gross negligence or willful misconduct of Sublessor or Master Landlord.
4. DEFAULT, TERMINATION, AND REMEDIES
Section 4.1. Events of Default
The occurrence of any one or more of the following events shall constitute an immediate "Event of Default" by Sublessee under this Sublease:
- Failure of Sublessee to pay any installment of Base Rent, Additional Rent, or the Security Deposit when due, where such failure continues for five (5) Business Days after written notice from Sublessor.
- Failure of Sublessee to observe, perform, or comply with any other material term, covenant, or condition of this Sublease (other than the payment of money) for a period of thirty (30) Business Days after written notice from Sublessor specifying the nature of the breach; provided, however, that if the nature of such default is such that it cannot reasonably be cured within thirty (30) Business Days, Sublessee shall not be in Default if Sublessee commences to cure such default within said thirty (30) day period and thereafter diligently and continuously prosecutes the cure to completion.
- The filing of a petition in bankruptcy by or against Sublessee, the insolvency of Sublessee, an assignment for the benefit of creditors, the appointment of a receiver or trustee for all or substantially all of Sublessee's assets, or the adjudication of Sublessee as bankrupt or insolvent.
- The abandonment or vacating of the Premises by Sublessee prior to the expiration of the Term.
- Any default by Sublessor under the Master Lease caused directly by the acts, omissions, or breach of this Sublease by Sublessee.
Section 4.2. Sublessor's Remedies
Upon the occurrence of an Event of Default, Sublessor shall have all rights and remedies available at law, in equity, or under the Master Lease, including, without limitation:
- Termination of Sublease: Sublessor may terminate this Sublease upon written notice to Sublessee, whereupon Sublessee’s right to possession of the Premises shall immediately cease, and Sublessee shall immediately surrender possession of the Premises to Sublessor.
- Re-Entry and Re-Letting: Sublessor may re-enter and take possession of the Premises, by summary proceedings or otherwise, without being liable for prosecution or damages, and may re-let the Premises on such terms as Sublessor may deem advisable, holding Sublessee liable for any deficiency in Rent.
- Damages: Sublessee shall remain liable for all past-due Rent, any deficiency between the rent reserved under this Sublease and the rent obtained upon re-letting, and all reasonable legal fees, court costs, brokerage commissions, and re-letting expenses incurred by Sublessor in enforcing its rights under this Sublease.
Section 4.3. Cumulative Remedies
All remedies conferred upon Sublessor under this Sublease shall be cumulative and in addition to any other remedy available to Sublessor at law or in equity. No delay or omission in the exercise of any right or remedy shall impair such right or be construed as a waiver.
5. BOILERPLATE LEGAL PROVISIONS
Section 5.1. Severability
If any provision of this Sublease, or the application thereof to any person or circumstance, shall be held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Sublease shall remain in full force and effect and shall not be impaired, affected, or invalidated thereby.
Section 5.2. Entire Agreement
This Sublease, together with the attached Master Lease (Exhibit A) and any exhibits or riders expressly incorporated herein, constitutes the entire agreement between Sublessor and Sublessee pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties. No amendment, modification, or waiver of any provision of this Sublease shall be effective unless set forth in a written instrument executed by both Sublessor and Sublessee.
Section 5.3. Force Majeure
Neither Sublessor nor Sublessee shall be held liable or responsible for any failure to perform, or delay in performing, any obligation under this Sublease (other than the payment of Rent or Security Deposits) if such failure or delay is caused by acts of God, strikes, lockouts, labor disputes, civil commotions, war, acts of terrorism, epidemic, pandemic, governmental restrictions, utility failures, or any other cause beyond the reasonable control of the affected Party (a "Force Majeure Event"). The time for performance of any such obligation shall be extended for a period equal to the duration of the Force Majeure Event.
Section 5.4. Governing Law and Venue
This Sublease shall be construed, interpreted, governed by, and enforced in accordance with the substantive laws of the State of New York, without regard to its conflict of laws principles. Each Party irrevocably consents and submits to the exclusive jurisdiction of the state courts located within New York County, New York, or the United States District Court for the Southern District of New York, for the resolution of any dispute arising out of or relating to this Sublease.
Section 5.5. Dispute Resolution and Waiver of Jury Trial
- Mediation/Arbitration Option: The Parties agree that any dispute, controversy, or claim arising out of or relating to this Sublease, or the breach, termination, or validity thereof, may, upon mutual written consent, be submitted to mediation before resorting to formal litigation.
- Waiver of Jury Trial: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBLESSOR AND SUBLESSEE HEREBY KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS SUBLEASE, THE PREMISES, OR THE RELATIONSHIP OF THE PARTIES HERETO.
Section 5.6. Notices
All notices, demands, consents, or other communications required or permitted under this Sublease shall be in writing and shall be deemed duly given and received: (a) upon personal delivery; (b) on the next Business Day if sent by a nationally recognized overnight courier service (e.g., FedEx or UPS) with postage prepaid; or (c) upon confirmed transmission if sent by electronic mail with a confirmatory copy sent via overnight courier, addressed to the respective Parties at the addresses set forth in the Preamble or to such other address as either Party may designate by notice given in accordance with this Section.
Section 5.7. Successors and Assigns
Subject to the restrictions on assignment and subletting set forth herein, this Sublease shall be binding upon and shall inure to the benefit of the Parties hereto and their respective heirs, legal representatives, successors, and permitted assigns.
