NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Engagement

1.1 Description of Services. Service Provider shall perform, deliver, and complete the professional services, deliverables, projects, or tasks (collectively, the "Services") specified in Exhibit A (Scope of Work & Deliverables) attached hereto and incorporated herein by this reference.

1.2 Performance Standards. Service Provider warrants that all Services shall be performed in a professional, workmanlike manner, in accordance with industry standards, and by qualified personnel possessing the requisite skill, training, and experience.

1.3 Change Orders. Any material alterations, additions, or deletions to the scope of Services outlined in Exhibit A must be set forth in a written Change Order signed by the authorized representatives of both Parties. Service Provider is under no obligation to perform out-of-scope tasks absent a fully executed Change Order.

2. Compensation & Payment Terms

2.1 Fee Structure. In consideration for the performance of the Services and the delivery of the Deliverables, Client shall pay Service Provider the fees set forth in Exhibit B (Fee Schedule & Payment Terms). The total aggregate fees under this Addendum shall not exceed [Amount in USD], unless authorized by a written Change Order.

2.2 Invoicing. Service Provider shall issue invoices to Client on a [monthly / milestone / project-completion] basis. Each invoice shall itemize the Services rendered, hours expended (if applicable), and milestone achievements corresponding to the billing period.

2.3 Payment Terms. Client shall remit full payment for all undisputed invoice amounts within [Number] ([#]) days of receipt of the applicable invoice (the "Due Date"). Payments shall be made in United States Dollars via wire transfer, automated clearing house (ACH), or check to the payment coordinates designated by Service Provider in writing.

2.4 Late Payments & Interest. Delinquent balances not paid by the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date delinquency commenced until paid in full. Service Provider reserves the right to suspend performance of Services upon ten (10) business days' written notice if any undisputed invoice remains unpaid past the Due Date.

2.5 Taxes. All fees and charges stated herein are exclusive of all applicable federal, state, municipal, or other governmental sales, use, value-added, excise, or withholding taxes. Client shall be solely responsible for the payment of all such taxes, excluding taxes levied upon Service Provider’s net income.

3. Term & Termination

3.1 Term. This Addendum shall commence on the Addendum Effective Date and shall continue in full force and effect until the completion of the Services or until terminated in accordance with this Section 3 (the "Addendum Term").

3.2 Termination for Convenience. Client or Service Provider may terminate this Addendum, in whole or in part, for convenience at any time upon providing [Number] ([#]) days' prior written notice to the other Party. Upon such termination, Client shall pay Service Provider for all Services performed and Deliverables completed up to the effective date of termination, plus any non-cancellable third-party commitments incurred by Service Provider.

3.3 Termination for Cause. Either Party may terminate this Addendum immediately upon written notice if the other Party materially breaches any representation, warranty, or material obligation under this Addendum or the Master Agreement, and fails to cure such material breach within thirty (30) days following receipt of written notice detailing the specific breach.

3.4 Effect of Termination. Upon expiration or termination of this Addendum:

  • (a) Service Provider shall immediately cease performance of the terminated Services;
  • (b) Client shall immediately pay all accrued, unpaid fees and reimbursable expenses due to Service Provider; and
  • (c) Each Party shall return or destroy, at the disclosing Party's option, all Confidential Information belonging to the other Party in accordance with Section 5.

4. Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing Intellectual Property. Each Party retains all right, title, and interest in and to its respective pre-existing intellectual property, tools, methodologies, software, and proprietary materials developed independently of this engagement ("Pre-Existing IP"). Nothing herein transfers ownership of Pre-Existing IP.

4.2 Work Product & Deliverables. Subject to full and final payment of all applicable fees due under this Addendum, Service Provider hereby assigns to Client all right, title, and interest (including all intellectual property rights) in and to the final deliverables specifically created by Service Provider for Client under this Addendum (the "Work Product").

4.3 Service Provider Tools. Notwithstanding Section 4.2, Service Provider retains all rights, title, and interest in its underlying generic frameworks, libraries, know-how, and development tools utilized in creating the Work Product. Service Provider grants Client a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, execute, and display such embedded Service Provider tools solely as incorporated within and necessary for the functional use of the Work Product.

5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means any proprietary, non-public, commercial, financial, technical, or operational information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party") under this Addendum, whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

5.2 Obligations of Confidentiality. The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use the same degree of care it uses to protect its own confidential information of like nature (but no less than a reasonable degree of care), and shall not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who have a "need to know" and are bound by confidentiality obligations at least as restrictive as those contained herein.

5.3 Exclusions. Confidential Information does not include information that:

  • (a) Is or becomes generally known to the public without breach of this Addendum by the Receiving Party;
  • (b) Was known to the Receiving Party prior to disclosure without confidentiality restrictions;
  • (c) Is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or
  • (d) Is rightfully received from a third party without a duty of confidentiality.

6. Representations & Warranties

6.1 Mutual Representations. Each Party represents and warrants that:

  • (a) It is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation;
  • (b) It has all requisite corporate power and authority to execute, deliver, and perform its obligations under this Addendum; and
  • (c) The execution and performance of this Addendum do not violate any applicable law, rule, regulation, or agreement to which it is a party.

6.2 Service Provider Warranty. Service Provider warrants that the Services will be performed in a professional manner conforming to generally accepted industry standards. Client's sole and exclusive remedy for breach of this warranty shall be the re-performance of the deficient Services within a reasonable time, provided Client notifies Service Provider in writing within thirty (30) days of performance.

7. Limitation of Liability & Indemnification

7.1 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF CONFIDENTIALITY (SECTION 5), INTELLECTUAL PROPERTY INFRINGEMENT, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS ADDENDUM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Aggregate Liability Cap. EXCEPT FOR OBLIGATIONS TO PAY AMOUNTS OWED UNDER THIS ADDENDUM, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS ADDENDUM, UNDER ANY LEGAL OR EQUITABLE THEORY, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY CLIENT TO SERVICE PROVIDER UNDER THIS ADDENDUM DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.3 Indemnification. Each Party ("Indemnifying Party") agrees to defend, indemnify, and hold harmless the other Party, its affiliates, directors, officers, employees, and agents ("Indemnified Party") from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from the Indemnifying Party’s gross negligence, willful misconduct, material breach of this Addendum, or infringement of any third-party intellectual property right.

8. Dispute Resolution & Arbitration

8.1 Negotiation in Good Faith. In the event of any dispute, controversy, or claim arising out of or relating to this Addendum, the designated representatives of the Parties shall first attempt to resolve the matter informally through good-faith negotiations for a period of not less than thirty (30) days.

8.2 Binding Arbitration. If the dispute is not resolved through informal negotiations within thirty (30) days, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

9. Governing Law & Jurisdiction

9.1 Governing Law. This Addendum, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Addendum, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Country], without regard to its conflict of laws principles.

10. Miscellaneous

10.1 Severability. If any provision of this Addendum is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Addendum shall remain in full force and effect.

10.2 Counterparts. This Addendum may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution and delivery of this Addendum via facsimile, email PDF, or digital signature platform (such as DocuSign or Adobe Sign) shall be legally binding and effective.

10.3 Entire Agreement. This Addendum, together with the Master Agreement and all attached Exhibits, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written negotiations, commitments, and understandings. In the event of any explicit conflict between the terms of the Master Agreement and this Addendum, the terms of this Addendum shall govern and control solely with respect to the Services described herein.
