SOCIAL MEDIA CONTENT CALENDAR AND STRATEGY AGREEMENT

1. PARTIES

This Content Calendar and Strategy Agreement (the "Agreement") is entered into by and between:

2. SCOPE OF SERVICES

The Provider shall generate, curate, and maintain a Social Media Content Calendar (the "Calendar") in accordance with the specifications set forth in Exhibit A (attached hereto). The Provider shall ensure that all content adheres to the brand guidelines, legal compliance standards, and strategic objectives outlined by the Client.

3. TERM AND TERMINATION

This Agreement shall commence on [___________] and continue until [___________], unless terminated earlier by either party upon [___________] days' written notice.

4. PAYMENT TERMS

The Client agrees to pay the Provider a fee of [___________] (USD) per [month/project/milestone]. Payments shall be made via [________________] within [___________] days of receipt of an invoice.

5. CONTENT OWNERSHIP AND INTELLECTUAL PROPERTY

All content produced, created, or curated by the Provider under this Agreement shall be considered "work made for hire." Upon full payment of all fees due, the Client shall retain exclusive ownership of all rights, titles, and interests in the content, including all intellectual property rights therein.

6. APPROVAL AND MODIFICATIONS

The Provider shall submit the draft Calendar for Client review no later than [___________] days prior to the scheduled publication date. The Client shall provide approval or feedback within [___________] business days. Failure to provide timely feedback shall be deemed an approval of the proposed content.

7. LIMITATION OF LIABILITY

The Provider shall use reasonable efforts to ensure the accuracy and legality of all content. However, the Client assumes all liability for the final publication of content and agrees to indemnify and hold harmless the Provider from any claims, damages, or legal costs arising from the publication of materials approved by the Client.

8. CONFIDENTIALITY

The Provider agrees to maintain the strict confidentiality of all proprietary information, trade secrets, and internal strategies disclosed by the Client during the term of this Agreement.
