SOCIAL MEDIA CONTENT STRATEGY & EXECUTION AGREEMENT

THIS SOCIAL MEDIA CONTENT CALENDAR AND MANAGEMENT AGREEMENT (the "Agreement") is entered into on this [____] day of [____________], 20[____] (the "Effective Date"), by and between:

CLIENT: [________________________________________], with a principal place of business located at [________________________________________] (hereinafter referred to as the "Client"),

AND

SERVICE PROVIDER: [________________________________________], with a principal place of business located at [________________________________________] (hereinafter referred to as the "Provider").

1. SCOPE OF SERVICES

The Provider shall develop, curate, and manage the social media content calendar within the HubSpot Marketing Hub platform. Services include, but are not limited to:

• Content Planning: Drafting [____] posts per [week/month] across [platform names].
• HubSpot Integration: Utilizing the HubSpot Social Tool to schedule and monitor performance.
• Creative Asset Management: Uploading and managing imagery/video assets provided by the Client or created by the Provider.
• Performance Reporting: Delivering a monthly analytical review generated via HubSpot reporting dashboards.

2. COMPENSATION AND PAYMENT TERMS

The Client shall compensate the Provider for services rendered as follows:

• Monthly Retainer: [________________] (Currency: [____]) per calendar month.
• Additional Fees: Any supplemental costs, including paid ad spend or third-party stock asset licenses, shall be pre-approved in writing by the Client.

4. INTELLECTUAL PROPERTY

All content, copy, and creative assets produced by the Provider specifically for the Client shall become the exclusive property of the Client upon receipt of full payment. The Client warrants that any assets provided to the Provider for inclusion in the HubSpot calendar are free of third-party intellectual property encumbrances.

5. CONFIDENTIALITY

The Provider acknowledges that they may have access to the Client’s proprietary data, including but not limited to HubSpot CRM contacts, marketing strategy, and sales data. The Provider agrees to maintain strict confidentiality and shall not disclose such information to any third party without express written consent.

6. HUBSPOT ACCESS & SECURITY

The Client shall provide the Provider with limited-access credentials to the HubSpot portal. The Provider agrees to adhere to all security protocols mandated by the Client and HubSpot, Inc.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of [____________________].
