SOCIAL MEDIA CONTENT STRATEGY AND CALENDAR AGREEMENT

THIS SOCIAL MEDIA CONTENT CALENDAR AND MANAGEMENT AGREEMENT (the "Agreement") is entered into on this ______ day of ____________________, 20____ (the "Effective Date"), by and between:

CLIENT: __________________________________________________, with a principal place of business located at __________________________________________________ (hereinafter referred to as the "Client"),

AND

SERVICE PROVIDER: __________________________________________________, with a principal place of business located at __________________________________________________ (hereinafter referred to as the "Provider").

1. SCOPE OF SERVICES

The Provider agrees to develop, manage, and deliver a Social Media Content Calendar for the Client. The services shall include:

• Frequency: ______ posts per week/month.
• Deliverables: The Provider shall deliver the finalized calendar by the ______ day of each preceding month.

2. COMPENSATION

In consideration for the services provided, the Client agrees to pay the Provider the following:

3. INTELLECTUAL PROPERTY

Upon full payment of all fees due under this Agreement, the Provider grants the Client an exclusive, royalty-free, perpetual, and worldwide license to utilize all content created under this Agreement. The Provider retains ownership of any pre-existing templates, proprietary software, or methodologies used to generate the content.

4. CLIENT APPROVALS

The Client agrees to review the provided Content Calendar within ______ business days of receipt. Failure to provide feedback or approval within this timeframe shall be deemed as "Approval by Default," and the Provider may proceed with scheduling the content as presented.

5. TERMINATION

Either party may terminate this Agreement upon ______ days' written notice to the other party. In the event of termination, the Client shall pay the Provider for all services performed and expenses incurred up to the effective date of termination.

6. CONFIDENTIALITY

The Provider acknowledges that they may have access to the Client’s proprietary information. The Provider agrees to maintain the strict confidentiality of all data, strategies, and credentials provided by the Client and shall not disclose such information to any third party without prior written consent.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State/Province of __________________________________________________.
