Instructions for Use

• Completion: This agreement must be completed by the Hiring Entity and the Freelance Recruiter. All bracketed fields must be populated prior to signature.
• Filing & Retention: Both parties should maintain a digital copy of the fully executed agreement in a secure, encrypted repository. The Hiring Entity must retain this record for a minimum of seven (7) years following the termination of the engagement for tax and audit compliance.
• Mandatory Attachments: Ensure a valid Statement of Work (SOW) or Exhibit A (Fee Schedule) is appended to this document prior to execution.

5. CONFIDENTIALITY & DATA PROTECTION

Recruiter agrees to protect all proprietary candidate and client data.

• Data Privacy: Recruiter shall comply with all applicable privacy laws (e.g., GDPR, CCPA).
• Non-Solicitation: Recruiter shall not solicit Company employees for a period of [__________] months following termination.

6. TERMINATION

Either party may terminate this agreement with written notice:
