3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement. Client hereby engages Consultant, and Consultant accepts engagement, to provide the professional consulting services set forth in this Agreement and in any mutually agreed-upon Statement of Work (each, an "SOW") executed by both Parties. Each SOW shall incorporate the terms of this Agreement by reference. In the event of any conflict between the terms of this Agreement and any SOW, the terms of this Agreement shall control unless the SOW expressly states an intention to supersede a specific section of this Agreement.
1.2 Performance Standard. Consultant shall perform all services under this Agreement in a professional, workmanlike manner, consistent with industry standards and best practices applicable to the consulting services industry. Consultant shall devote such time, attention, and professional energies as are necessary to competently and timely complete the services.
1.3 Personnel. Consultant reserves the right to determine the method, details, and means of performing the services. Consultant may utilize employees, independent contractors, or subcontractors (collectively, "Subcontractors") to perform the services; provided, however, that Consultant shall remain fully responsible and liable for the performance, acts, and omissions of all such Subcontractors and their compliance with the confidentiality and intellectual property provisions of this Agreement.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Fees. In consideration for the full and faithful performance of the services by Consultant, Client shall pay Consultant the fees set forth in Exhibit A (Fee Schedule) or the applicable SOW. Fees may be structured as hourly rates, fixed project milestones, or monthly retainers as agreed in writing.
2.2 Invoicing & Payment Schedule. Consultant shall submit monthly invoices to Client detailing the services rendered, time expended (if applicable), and reimbursable expenses incurred during the preceding billing cycle. Client shall pay all undisputed invoices in full via wire transfer, ACH, or check within thirty (30) calendar days of the invoice date.
2.3 Late Payments & Interest. Any undisputed amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. Client shall reimburse Consultant for all reasonable costs and expenses (including attorneys' fees and collection agency costs) incurred by Consultant in collecting overdue payments.
2.4 Expenses. Client shall reimburse Consultant for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by Consultant in connection with the performance of the services, including travel, lodging, and materials, provided that Consultant submits supporting receipts and documentation with the applicable invoice.
2.5 Taxes. All fees and compensation set forth in this Agreement are exclusive of all applicable federal, state, local, and international sales, use, value-added, excise, or similar taxes. Client shall be solely responsible for payment of all such taxes, excluding taxes levied on Consultant’s net income.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until [Termination Date, e.g., December 31, 202X] or until all SOWs executed hereunder have been fully completed, unless earlier terminated in accordance with this Section 3.

3.3 Termination for Cause. Either Party may terminate this Agreement or any active SOW immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement or an SOW and fails to cure such material breach within fifteen (15) calendar days after receipt of written notice detailing the breach; (b) files a petition for bankruptcy, becomes insolvent, or makes an assignment for the benefit of creditors; or (c) ceases active business operations.
3.4 Effect of Termination. Upon expiration or termination of this Agreement for any reason: (a) Client shall immediately pay Consultant all accrued, unpaid fees and reimbursable expenses for services performed up to the effective date of termination; (b) Consultant shall promptly return or destroy (at Client’s election) all Confidential Information belonging to Client; and (c) Sections 4, 5, 6, 7, 8, and 9 shall survive such expiration or termination.

4.1 Work Made for Hire. To the maximum extent permitted by applicable law, all deliverables, reports, documentation, software, code, designs, data, inventions, and other works of authorship created, authored, or developed by Consultant specifically for Client pursuant to this Agreement (collectively, the "Deliverables") shall be deemed "work made for hire" under the United States Copyright Act.
4.2 Assignment of Rights. To the extent that any Deliverable does not qualify as a "work made for hire," Consultant hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Deliverables, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein, free and clear of all liens and encumbrances.
4.3 Pre-Existing Intellectual Property. 5.4 Compelled Disclosure. SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIALITY), INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, OR WILLFUL MISCONDUCT/FRAUD, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY CLIENT TO CONSULTANT UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The language of the arbitration shall be English. The arbitrator's award shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Notwithstanding anything to the contrary in this Section 8, either Party may seek temporary, preliminary, or permanent injunctive relief or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information without first engaging in arbitration.

10.2 Entire Agreement. This Agreement, together with any SOWs and Exhibits attached hereto, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, proposals, negotiations, and representations between the Parties.
