2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Board Composition and Governance. The Shareholders agree to vote all shares of capital stock of the Company over which they have voting control, and to take all necessary or desirable actions within their power (whether as a shareholder, director, officer, or otherwise), to ensure that the Board is constituted as follows: (a) [Number] representative(s) designated by the holders of a majority of the outstanding shares of Preferred Stock; (b) [Number] representative(s) designated by the holders of a majority of the outstanding shares of Common Stock; and (c) [Number] independent industry expert(s) mutually agreed upon by the representatives designated pursuant to subsections (a) and (b) above.

2.2. Information Rights. The Company shall deliver to each Shareholder holding at least [Percentage]% of the Company's outstanding capital stock: (a) Within [Number] days after the end of each fiscal year, an audited balance sheet as of the end of such fiscal year, an audited statement of operations, and an audited statement of cash flows for such year; and (b) Within [Number] days after the end of each fiscal quarter, an unaudited balance sheet and related statements of operations and cash flows for such quarter, certified by the Chief Financial Officer of the Company.

2.3. Preemptive Rights. If the Company proposes to offer or sell any new securities, the Company shall first offer such new securities to each Shareholder holding Preferred Stock pro rata based on their respective ownership percentages of capital stock. Such preemptive right shall terminate immediately upon the closing of a firmly underwritten public offering of shares of Common Stock of the Company pursuant to an effective registration statement under the Securities Act.

2.4. Protective Provisions. In addition to any vote or consent required by law or the Certificate of Incorporation of the Company, the Company shall not, without the written consent or affirmative vote of the holders of at least [Percentage]% of the then-outstanding shares of Preferred Stock, voting as a separate class: (a) Alter or change the rights, preferences, or privileges of the Preferred Stock; (b) Create any new class or series of capital stock having rights, preferences, or privileges superior to or on a parity with the Preferred Stock; (c) Declare or pay any dividend on shares of Common Stock; or (d) Authorize, approve, or execute any transaction constituting a Deemed Liquidation Event as defined in the Certificate of Incorporation.

2.5. Key-Person Performance Metrics and Representations. Each Shareholder who is an employee, founder, or service provider to the Company represents and warrants that they possess the necessary skills, licenses, and clearances to perform their duties. Such individuals shall dedicate their full business time, attention, and energies to the advancement of the Company's business operations and shall maintain strict confidentiality regarding all proprietary information, trade secrets, and intellectual property assets of the Company.

3. TRANSFER RESTRICTIONS & LIQUIDITY RIGHTS

3.1. General Restriction on Transfers. No Shareholder shall directly or indirectly sell, assign, transfer, pledge, hypothecate, or otherwise encumber or dispose of any shares of capital stock of the Company, or any right or interest therein, except in strict compliance with the terms and conditions of this Agreement and applicable federal and state securities laws. Any attempted transfer in violation of this Agreement shall be null and void ab initio, and the Company shall not record such transfer on its books or treat any purported transferee as the owner of such shares.

3.2. Right of First Refusal. (a) If a Selling Shareholder desires to transfer any shares of capital stock to a third party, the Selling Shareholder shall deliver written notice (the "Transfer Notice") to the Company and each non-selling Shareholder, specifying the identity of the proposed transferee, the purchase price, and all other material terms and conditions of the proposed transfer. (b) The Company shall have the primary, exclusive right, exercisable within [Number] business days following receipt of the Transfer Notice, to purchase all or any portion of the shares specified in the Transfer Notice at the same price and upon the same terms as set forth therein. (c) If the Company fails to exercise its right to purchase all of the Offered Shares within the specified period, the non-selling Shareholders shall have the secondary right to purchase their pro rata share of the remaining Offered Shares within [Number] business days thereafter.

3.3. Tag-Along Rights (Co-Sale Rights). If the Selling Shareholder proposes to transfer shares of capital stock representing more than [Percentage]% of the voting power of the Company to any third party, and such transfer is not fully absorbed by the Right of First Refusal under Section 3.2, each non-selling Shareholder shall have the right to participate in such sale on a pro rata basis, selling to the proposed transferee the same percentage of their total capital stock as the Selling Shareholder is selling. The Selling Shareholder shall provide written notice (the "Tag-Along Notice") at least [Number] days prior to the proposed closing date.

3.4. Drag-Along Rights. If the holders of at least [Percentage]% of the voting power of the Company, including the holders of a majority of the Preferred Stock, approve a bona fide third-party offer to acquire all or substantially all of the assets or capital stock of the Company (a "Drag-Along Sale"), all Shareholders shall consent to, vote for, and raise no objections against such Drag-Along Sale. Each Shareholder shall vote their shares in favor thereof and tender their stock certificates and execute all related transaction documents requested by the Board, provided that the terms of such transaction apply uniformly to all holders of the same class or series of stock.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1. Events of Default. The occurrence of any one or more of the following events shall constitute a material "Event of Default" under this Agreement: (a) The failure of any Shareholder to pay any capital call, funding obligation, or financial commitment when due pursuant to the terms of this Agreement or any related corporate document; (b) The breach by any Shareholder of any material representation, warranty, covenant, or restriction set forth in Sections 2 or 3 of this Agreement; (c) The filing of a voluntary petition in bankruptcy by a Shareholder, the adjudication of a Shareholder as bankrupt or insolvent, the appointment of a receiver, trustee, or liquidator for all or substantially all of a Shareholder's assets, or the execution of an assignment for the benefit of creditors; or (d) The commission of fraud, embezzlement, gross negligence, or willful misconduct by a Shareholder-employee in connection with the operations or business affairs of the Company.

4.2. Notice and Cure Period. Upon the occurrence of an Event of Default, the non-defaulting parties (or the Company acting on behalf thereof) shall provide written notice of default to the defaulting Shareholder. The defaulting Shareholder shall have a period of thirty (30) business days from the receipt of such written notice to cure such Event of Default, to the extent such default is capable of cure.

4.3. Legal Recourse and Remedies. If an Event of Default is not cured within the thirty (30) business day period set forth in Section 4.2 (or immediately, in the case of a breach of transfer restrictions or fraud), the Company and/or the non-defaulting Shareholders, acting collectively or individually, may pursue any and all available legal and equitable remedies, including, without limitation: (a) Specific Performance: Injunctive relief and specific performance to compel compliance with the terms hereof, without the requirement of posting a bond; (b) Compulsory Redemption: The right of the Company to redeem all or any portion of the defaulting Shareholder's shares of capital stock at a purchase price equal to seventy-five percent (75%) of the Original Cost of such shares, or the fair market value as determined by an independent third-party appraiser, whichever is lower; (c) Suspension of Rights: The immediate suspension of the defaulting Shareholder's voting rights, information rights, and dividend distributions for the duration of the default; and (d) Damages: Recovery of all direct, indirect, and consequential damages incurred by the Company or non-defaulting Shareholders as a result of the breach, together with reasonable attorneys' fees and legal costs.

4.4. Termination. This Agreement shall terminate automatically and be of no further force or effect upon the earliest to occur of: (a) The consummation of a firmly underwritten public offering of shares of Common Stock pursuant to an effective registration statement under the Securities Act; (b) The consummation of a Deemed Liquidation Event, merger, or asset sale resulting in the transfer of more than ninety percent (90%) of the voting power or assets of the Company; or (c) The unanimous written consent of the Company and all Shareholders then bound by this Agreement.

5. BOILERPLATE LEGAL PROVISIONS

5.1. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable under any applicable statute or rule of law, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected by the illegal, invalid, or unenforceable provision.

5.2. Entire Agreement. This Agreement, together with the Certificate of Incorporation and Bylaws of the Company, constitutes the entire agreement among the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.

5.3. Force Majeure. No party shall be liable or responsible to the other parties, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond the impacted party's reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national or regional emergencies, pandemics, epidemics, or strikes (each, a "Force Majeure Event").

5.5. Dispute Resolution and Arbitration. Any dispute, controversy, or claim arising out of, relating to, or in connection with this Agreement, including the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered by the [Arbitration Association, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The number of arbitrators shall be [Number, e.g., one (1) or three (3)]. The place of arbitration shall be [City, State/Country], and the proceedings shall be conducted in the English language. The award rendered by the arbitrator(s) shall be final and binding upon the parties, and judgment upon the award may be entered in any court having competent jurisdiction thereof.

5.6. Amendments and Waivers. Any amendment or waiver effected in accordance with this Section shall be binding upon all parties hereto and their respective successors and assigns.
