2.1. Governance and Board Composition.
(a) The Shareholders agree to vote all Shares owned or controlled by them at any annual or special meeting of shareholders, or in any written consent executed in lieu thereof, to elect and maintain a Board of Directors comprised of [Number] members, designated as follows:
(i) [Number] individuals designated by [Shareholder 1 Name];
(ii) [Number] individuals designated by [Shareholder 2 Name]; and
(iii) [Number] independent industry experts mutually agreed upon by the aforementioned designated directors.
(b) The Corporation and the Shareholders shall take all necessary corporate actions to ensure the composition of the Board remains compliant with this Section 2.1.
2.2. Restrictions on Transfer of Shares.
(a) Except for a Permitted Transfer or as expressly permitted pursuant to Section 2.3 (Right of First Refusal), no Shareholder shall sell, assign, transfer, pledge, hypothecate, mortgage, encumber, or otherwise dispose of any Shares, whether voluntarily or involuntarily, by operation of law or otherwise, without the prior written consent of the Board of Directors and the holders of at least [Percentage, e.g., 66.6%] of the outstanding Common Stock.
(b) Any attempted transfer in violation of this Section 2.2 shall be null and void ab initio, and the Corporation shall not record any such transfer on its books or recognize the purported transferee as a shareholder for any purpose.
2.3. Right of First Refusal (ROFR).
(a) If any Shareholder (the "Selling Shareholder") receives a bona fide, written, arm's-length offer from a third party to purchase all or any portion of their Shares (the "Offered Shares"), and the Selling Shareholder desires to accept such offer, the Selling Shareholder shall promptly deliver written notice (the "Transfer Notice") to the Corporation and the non-selling Shareholders (the "Remaining Shareholders").
(b) The Transfer Notice shall set forth the identity of the prospective transferee, the number of Offered Shares, the purchase price per share, and all other material terms and conditions of the offer.
(c) The Corporation shall have the primary, irrevocable option, exercisable within [Number, e.g., 30] days following receipt of the Transfer Notice, to purchase all or any portion of the Offered Shares at the same price and upon the same terms and conditions set forth in the Transfer Notice.
(d) If the Corporation declines or fails to exercise its option as to all Offered Shares within the specified timeframe, the Remaining Shareholders shall have the secondary option, exercisable within an additional [Number, e.g., 15] days, to purchase their Pro Rata Share of the remaining Offered Shares. If any Remaining Shareholder declines their allocation, the other Remaining Shareholders may purchase the balance on a pro rata basis.
(e) If neither the Corporation nor the Remaining Shareholders purchase all of the Offered Shares within the prescribed periods, the Selling Shareholder may, during the subsequent [Number, e.g., 60]-day period, sell the unpurchased Offered Shares to the third-party purchaser named in the Transfer Notice, on terms no more favorable to the third party than those offered to the Corporation and Remaining Shareholders.
2.4. Tag-Along Rights (Co-Sale Rights).
If a Selling Shareholder proposes to transfer Shares representing more than [Percentage, e.g., 50%] of the outstanding voting power of the Corporation to a third party, and such transfer is not subject to a successful exercise of the ROFR under Section 2.3, the Remaining Shareholders shall have the absolute right to participate in such sale by selling a pro rata portion of their Shares to the prospective third-party purchaser upon the identical terms and conditions applicable to the Selling Shareholder.
2.5. Drag-Along Rights.
If holders of at least [Percentage, e.g., 75%] of the outstanding Common Stock (the "Approving Shareholders") approve a bona fide third-party offer to acquire all or substantially all of the assets or capital stock of the Corporation (a "Sale Transaction"), the Approving Shareholders shall have the right to compel all other Shareholders (the "Dragged Shareholders") to vote in favor of, consent to, and sell all of their Shares in connection with such Sale Transaction, provided that the consideration distributed to the Shareholders is allocated strictly on a pro rata basis in accordance with their respective holdings.
2.6. Representations and Warranties. Each Shareholder severally represents and warrants to the Corporation and each other Shareholder that: (a) Such Shareholder has full legal capacity, power, and authority to execute, deliver, and perform this Agreement. (b) This Agreement constitutes a legal, valid, and binding obligation of such Shareholder, enforceable against them in accordance with its terms. (c) The execution and delivery of this Agreement and the performance of obligations hereunder do not and will not violate any provision of any contract, court order, or law applicable to such Shareholder. (d) Such Shareholder is the sole legal and beneficial owner of the Shares set forth opposite their name on Schedule A, free and clear of any liens, encumbrances, security interests, or adverse claims of any kind whatsoever.
SECTION 3: DEFAULT, TERMINATION, AND REMEDIES
3.1. Events of Default.
The occurrence of any of the following shall constitute an immediate "Event of Default" under this Agreement:
(a) The failure of any Shareholder to pay any capital call, debt, or financial obligation due to the Corporation within [Number, e.g., 15] days of receiving written demand.
(b) Any material breach by a Shareholder of any representation, warranty, covenant, or restriction contained in this Agreement.
(c) The filing of a petition in bankruptcy by or against a Shareholder, or the assignment for the benefit of creditors, appointment of a receiver, or the commencement of any insolvency proceeding involving a Shareholder or their assets.
(d) The commission of fraud, embezzlement, gross negligence, or willful misconduct by a Shareholder-Employee in connection with the business and affairs of the Corporation.
3.2. Notice and Cure Periods. Except as otherwise provided herein, upon the occurrence of an Event of Default, the non-defaulting Parties or the Corporation shall provide written notice of default to the defaulting Shareholder. The defaulting Shareholder shall have exactly thirty (30) Business Days from the confirmed date of receipt of such notice to fully cure the specified default (the "Cure Period").
3.3. Remedies upon Default.
If an Event of Default is not cured within the applicable Cure Period, the Corporation and the non-defaulting Shareholders, acting collectively or individually, may pursue any and all available legal and equitable remedies, including without limitation:
(a) Compulsory Buyout: The Corporation or the non-defaulting Shareholders may elect to purchase all (but not less than all) of the defaulting Shareholder’s Shares at [Percentage, e.g., 75%] of the Fair Market Value or the original purchase price paid by the defaulting Shareholder, whichever is lower, as liquidated damages reflecting the administrative and operational disruption caused by the default.
(b) Injunctive Relief: Specific performance and injunctive relief to restrain any prohibited transfer, breach, or threatened breach of this Agreement, without the requirement of posting a bond or proving actual monetary damages.
(c) Suspension of Rights: Immediate suspension of the defaulting Shareholder’s voting rights, information rights, and dividend distributions for the duration of the default.
3.4. Termination. This Agreement shall terminate automatically and be of no further force or effect upon the earliest to occur of: (a) The written agreement of all Shareholders then bound by this Agreement. (b) The consummation of a firm-commitment underwritten initial public offering (IPO) of the Corporation's Common Stock on a recognized national securities exchange. (c) The dissolution, winding up, or bankruptcy liquidation of the Corporation. (d) The reduction of the number of Shareholders to a single individual or entity.
SECTION 4: BOILERPLATE LEGAL PROVISIONS
4.1. Severability. If any provision, clause, or sentence of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is impossible, such provision shall be severed, and the remaining provisions of this Agreement shall remain in full force and effect and shall in no way be impaired or invalidated.
4.2. Entire Agreement. This Agreement, together with Schedule A and any contemporaneous written instruments executed specifically in connection herewith, constitutes the entire agreement and understanding between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous negotiations, discussions, understandings, drafts, and agreements, whether oral or written, between the Parties.
4.3. Force Majeure. No Party shall be liable or responsible to the other Parties, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national emergencies, pandemic, epidemic, or government laws or actions, provided that the affected Party uses diligent, commercially reasonable efforts to resume performance as soon as practicable.
4.4. Governing Law.
This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Jurisdiction], without regard to its conflict of laws principles.
4.5. Dispute Resolution and Arbitration.
Any dispute, controversy, or claim arising out of, relating to, or in connection with this Agreement, including the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association / JAMS] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The arbitral award shall be final and binding upon the Parties, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
4.6. Amendments and Waivers.
No modification, amendment, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by the Corporation and the holders of at least [Percentage, e.g., 75%] of the outstanding Common Stock. No failure or delay by any Party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof.
4.7. Notices. All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and shall be deemed to have been given: (a) when delivered by hand (with written confirmation of receipt); (b) when received by the addressee if sent by a nationally recognized overnight courier (receipt requested); (c) on the date sent by facsimile or email of a PDF document (with confirmation of transmission) if sent during normal business hours of the recipient, and on the next Business Day if sent after normal business hours; or (d) on the third day after the date mailed, by certified or registered mail, return receipt requested, postage prepaid.
