Each Shareholder holding at least [Percentage]% of the issued and outstanding Shares shall be entitled to designate [Number] director(s) to the Board. (c) Action by the Board shall require the affirmative vote of a majority of the directors present at a duly constituted meeting at which a quorum is present, except as otherwise required by the corporate statute of [Jurisdiction] or this Agreement.

2.2 Representations and Warranties of Shareholders

Each Shareholder hereby severally, and not jointly, represents and warrants to the Company and to each other Shareholder that: (a) Such Shareholder has full legal capacity, power, and authority to execute, deliver, and perform this Agreement. (b) This Agreement constitutes a legal, valid, and binding obligation of such Shareholder, enforceable against them in accordance with its terms. (c) The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby do not violate, conflict with, or constitute a default under any contract, agreement, judgment, or law applicable to such Shareholder. (d) Such Shareholder is the sole legal and beneficial owner of the Shares set forth opposite their name in Schedule A, free and clear of any liens, encumbrances, security interests, or adverse claims whatsoever.

2.3 Restrictions on Transfer and Right of First Refusal

(a) No Shareholder shall Transfer any Shares except in strict compliance with the terms of this Agreement. Any purported Transfer in violation of this Agreement shall be null and void ab initio, and the Company shall not register any such Transfer on its corporate books. The Transfer Notice shall set forth the identity of the proposed transferee, the number and class of Shares to be transferred, the purchase price, and all other material terms and conditions of the proposed Transfer. (c) The Company shall have the primary right, exercisable within thirty (30) days of receipt of the Transfer Notice, to purchase all or any portion of the offered Shares at the price and upon the terms specified in the Transfer Notice. (d) If the Company declines or fails to purchase all of the offered Shares within the thirty (30) day period, the non-selling Shareholders shall have the secondary right, exercisable within fifteen (15) days thereafter, to purchase their Pro Rata Share of the remaining offered Shares.

2.4 Drag-Along and Tag-Along Rights

(a) Tag-Along Rights: If one or more Shareholders holding in the aggregate at least [Percentage]% of the voting Shares (the "Selling Group") propose to Transfer Shares to a bona fide third-party purchaser representing a change of control, the other Shareholders (the "Tag-Along Shareholders") shall have the right to participate in such sale on the same terms and conditions pro rata. (b) Drag-Along Rights: If Shareholders holding at least [Percentage]% of the voting Shares (the "Initiating Shareholders") approve a sale of the Company to a bona fide third-party purchaser, all other Shareholders shall be obligated to vote in favor of, consent to, and sell all of their Shares in connection with such transaction upon the same terms and conditions applicable to the Initiating Shareholders.

2.5 Capital Contributions and Financing

(a) The Shareholders shall not be obligated to make any additional capital contributions to the Company unless unanimously agreed in writing by all Shareholders. (b) If the Board determines that the Company requires additional working capital, the Company shall first seek commercial debt financing. The defaulting Shareholder shall have thirty (30) business days from the receipt of such notice to cure the specified default to the reasonable satisfaction of the non-defaulting parties.
