5. STEP-BY-STEP EXECUTION & FILING GUIDE
To ensure maximum legal enforceability, compliance, and risk mitigation, follow these procedural steps when executing and archiving this Agreement:
-
Document Customization (Word Processing):
- Open the document template in Microsoft Word or Google Docs.
- Use the Find & Replace function to substitute all bracketed placeholder text (e.g.,
[Company Full Legal Name],[Amount in USD],[State Name]) with the accurate, verified legal details of the transaction and parties. Verify that all corporate names match state registry records exactly.
-
Legal & Tax Review:
- Have qualified legal counsel review the finalized draft, particularly if the dispute involves employment claims (which require specific statutory language, revocation periods, and tax allocations) or pending litigation (where a formal Stipulation of Dismissal with prejudice must be filed concurrently).
- Coordinate with corporate accounting/tax departments regarding Form 1099 issuance and wire transfer tracking.
-
Execution & Digital Signing:
- Transmit the finalized PDF version via an institutional digital signature platform (such as DocuSign or Adobe Sign) to establish an immutable audit trail, IP logging, and cryptographic verification of the signatories.
- Ensure that the individuals signing possess verified corporate authority (e.g., officers, managing members, or individuals possessing a duly executed corporate resolution or power of attorney).
-
Filing & Dismissal of Litigation (If Applicable):
- If a lawsuit or arbitration is currently pending between the Parties, counsel for the plaintiff/claimant must file a Stipulation of Dismissal with Prejudice (releasing all claims) with the relevant court or arbitral body immediately upon receipt of confirmed payment of the Settlement Amount.
-
Record Retention:
- Store the fully executed Agreement (along with digital signature certificates and wire transfer receipts) in the centralized corporate contract repository and legal document management system (DMS) for a minimum of seven (7) years, or in accordance with corporate document retention policies.
