3.2.2. **Incident Response/Resolution Service Credits:** For each Critical Incident (Severity 1) where Service Provider fails to meet *both* the Response Time Target and the Resolution Time Target within a calendar month, Client shall receive a Service Credit of [Percentage]% of the monthly fees payable for the affected Services, up to the Maximum Service Credits limit in Section 3.4.

3.6. Termination for Uncured Breach If a material breach remains uncured after the Thirty (30) Business Day cure period, or if a reasonable cure plan is not provided or adhered to, the non-breaching Party may terminate this Agreement and/or the affected Services under the Underlying Agreement, without prejudice to any other rights or remedies it may have at law or in equity, upon providing an additional [Number] days' written notice.

4.2. Dispute Resolution 4.2.1. Severability If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect. The Parties shall endeavor to replace the invalid or unenforceable provision with a valid and enforceable provision that most closely reflects the original intent of the Parties.

The Party affected by the Force Majeure Event shall promptly notify the other Party in writing and use commercially reasonable efforts to mitigate the effect of such event. If a Force Majeure Event continues for a period exceeding [Number, e.g., sixty (60)] days, either Party may terminate this Agreement upon written notice to the other Party.
