ARTICLE II: SCOPE OF ARCHITECTURAL SERVICES
2.1 The Architect shall provide the architectural services as detailed in Annex "A" - Scope of Architectural Services Detail, which is attached hereto and made an integral part of this Agreement. These services typically include, but are not limited to, the following phases:

ARTICLE V: RESPONSIBILITIES OF THE CLIENT
5.1 Provide Information: The Client shall provide the Architect with all necessary information, including but not limited to, project requirements, budget, timeline, existing surveys, geotechnical reports, and relevant legal documents promptly. 5.2 Decision-Making: The Client shall make timely decisions and provide approvals required for the Architect to proceed with the services. 5.3 Site Access: The Client shall ensure appropriate access to the project site for the Architect and their authorized personnel. 5.4 Financial Obligations: The Client shall fulfill all financial obligations to the Architect as per Article III and Annex "B". 5.5 Consultants: The Client shall engage and pay for the services of other consultants (e.g., Structural, MEPF, Geodetic, Interior Design, Landscape Architecture) as required, or authorize the Architect to engage them on the Client's behalf, provided that the Architect is reimbursed. 5.6 Permits and Licenses: The Client shall be responsible for securing and paying for all necessary permits, licenses, and government approvals required for the project construction, with the Architect providing assistance in the preparation of required documents.
ARTICLE VI: RESPONSIBILITIES OF THE ARCHITECT
6.1 Professional Standard: The Architect shall perform the services in accordance with the generally accepted standards of care, diligence, and skill of a licensed architect in the Republic of the Philippines, and in compliance with all applicable laws, codes, and regulations, particularly R.A. No. 9266 (The Architecture Act of 2004) and its IRR. 6.2 Deliverables: The Architect shall provide the deliverables specified in Annex "A" within the agreed schedule, subject to Article IV. 6.3 Coordination: The Architect shall coordinate their work with other consultants engaged for the project. 6.4 Recommendations: The Architect shall provide recommendations to the Client on design solutions, materials, and construction methods.
ARTICLE VII: INTELLECTUAL PROPERTY AND USE OF DOCUMENTS
7.1 All designs, drawings, specifications, reports, models, and other documents prepared by the Architect (hereinafter "Instruments of Service") are and shall remain the intellectual property of the Architect. 7.2 The Architect grants the Client a non-exclusive, non-transferable license to use the Instruments of Service solely for the construction, use, and maintenance of the Project described herein. This license is conditional upon the Client fulfilling all obligations under this Agreement. 7.3 The Client agrees not to reuse the Instruments of Service for any other project, or for any extensions to this Project, without the prior written consent of the Architect and payment of an appropriate additional fee. 7.4 The Architect retains the right to include photographs or other visual representations of the design and completed project in their professional portfolio and marketing materials.
ARTICLE VIII: CONFIDENTIALITY
8.1 Both Parties agree to keep confidential all non-public information, data, and materials obtained from the other Party in connection with this Agreement, and shall not disclose such information to any third party without prior written consent, except as required by law. 8.2 This obligation of confidentiality shall survive the termination or expiration of this Agreement.
ARTICLE IX: INDEMNIFICATION AND LIMITATION OF LIABILITY
9.1 Architect's Indemnification: The Architect shall indemnify and hold harmless the Client from and against any damages, losses, or expenses (including reasonable legal fees) arising from the Architect's gross negligence or willful misconduct in the performance of the services. 9.2 Client's Indemnification: The Client shall indemnify and hold harmless the Architect from and against any damages, losses, or expenses (including reasonable legal fees) arising from the Client's breach of this Agreement, provision of inaccurate information, or delays in decisions. 9.3 Limitation of Liability: The Architect's total liability to the Client for any and all claims, damages, losses, or expenses arising out of or in connection with this Agreement shall not exceed the total professional fees actually paid by the Client to the Architect under this Agreement, except in cases of gross negligence, fraud, or willful misconduct.
ARTICLE X: TERMINATION OF AGREEMENT
10.1 Termination by Client for Cause: The Client may terminate this Agreement upon [__________] days' written notice to the Architect if the Architect:

ARTICLE XII: FORCE MAJEURE

The Party affected by a Force Majeure Event shall promptly notify the other Party in writing and shall use reasonable efforts to mitigate the effects thereof.
ARTICLE XIII: MISCELLANEOUS PROVISIONS
13.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. 13.2 Entire Agreement: This Agreement, together with its Annexes, constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof. 13.3 Amendments: Any amendment or modification to this Agreement must be in writing and signed by duly authorized representatives of both Parties. 13.4 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 13.5 Notices: All notices required or permitted under this Agreement shall be in writing and shall be deemed effectively given: (a) upon personal delivery; (b) one (1) business day after dispatch if sent by reputable overnight courier; or (c) five (5) business days after mailing if sent by registered mail, postage prepaid, to the addresses specified in Article I, or to such other address as a Party may designate by written notice. 13.6 Assignment: Neither Party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other Party.
