1. STATUTORY & LEGAL COMPLIANCE NOTICE
CRITICAL LEGAL NOTICE: This document constitutes a legally binding commercial proposal and, upon mutual execution by authorized representatives of both parties, operates as an enforceable Master Services Agreement (MSA). The terms, conditions, warranties, and limitations set forth herein are drafted with clinical precision to protect the commercial, intellectual, and financial interests of the issuing entity.
Jurisdictional requirements vary significantly across domestic and international legal frameworks. Parties are expressly advised to retain qualified legal counsel within the designated governing jurisdiction to review bracketed provisions, tax implications, and regulatory compliance parameters prior to execution. Modifying, deleting, or altering the operative clauses without legal oversight may compromise the enforceability of this instrument.
2. PARTIES & RECITALS
This Commercial Proposal and Master Services Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
Provider: [Company Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC/Partnership], having its principal place of business at [Principal Address] (hereinafter referred to as "Provider"), and
Client: [Client Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC/Partnership], having its principal place of business at [Principal Address] (hereinafter referred to as "Client").
RECITALS
WHEREAS, Provider possesses specialized expertise, proprietary methodologies, and commercial capabilities in the design, development, and delivery of [Insert Core Industry/Services, e.g., enterprise software solutions and strategic digital transformation services]; and
WHEREAS, Client desires to engage Provider to perform certain professional services, and Provider desires to provide such services to Client, subject to the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and obligations contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement and Scope. Provider hereby agrees to perform and deliver the professional services, deliverables, and project milestones set forth in the commercial proposal and Statement of Work (SOW) attached hereto as Exhibit A (collectively, the "Services"). The terms and conditions of this Agreement shall govern all SOWs executed hereunder. 1.2 Project Management and Changes. Each Party shall appoint a designated project manager to coordinate operational delivery, milestone sign-offs, and administrative notices. Any material modification, expansion, or reduction of the Services set forth in Exhibit A shall require a formal written Change Order executed by the authorized representatives of both Parties (the "Change Order"). Provider shall not be obligated to perform any modified or additional services without a fully executed Change Order detailing the corresponding adjustments to fees, timelines, and resource allocations. 1.3 Client Cooperation. Client acknowledges and agrees that Provider’s timely performance of the Services is dependent upon Client’s active cooperation, prompt decision-making, and access to necessary personnel, systems, and facilities. Client shall furnish all required data, information, and approvals in a commercially reasonable timeframe. Delays caused by Client’s failure to provide requisite cooperation shall result in a day-for-day extension of project timelines and may incur additional resource fees billed at Provider’s standard hourly rates.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Fees and Billing Structure. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total contract sum of [Amount in USD] USD, payable in accordance with the milestone schedule or periodic billing structure set forth in Exhibit A.
2.2 Invoicing and Payment Due Date. Provider shall issue invoices to Client electronically via email to [Billing Contact Email Address]. All undisputed invoices are due and payable in United States Dollars within thirty (30) calendar days from the date of issuance (the "Due Date").
2.3 Late Payment and Interest. Any invoice amount not received by Provider by the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until paid in full. Furthermore, Provider reserves the right, upon ten (10) business days' prior written notice to Client, to suspend the performance of any ongoing Services and withhold the delivery of any work product or deliverables until all delinquent balances and accrued interest are paid in full.
2.4 Disputed Invoices. If Client disputes any portion of an invoice in good faith, Client must submit a detailed written notice of the dispute to Provider within fifteen (15) calendar days of receiving the invoice, specifying the precise grounds for the dispute and paying any undisputed portion by the Due Date. The Parties shall negotiate in good faith to resolve any such dispute within ten (10) business days following receipt of the notice. Undisputed sums resolved in favor of Provider shall bear interest pursuant to Section 2.3 from the original Due Date.
2.5 Taxes. All fees and compensation set forth in this Agreement are exclusive of all applicable federal, state, provincial, local, and foreign taxes, duties, levies, tariffs, and value-added taxes (VAT) (collectively, "Taxes"). Client shall be solely responsible for the payment of all such Taxes, excluding taxes levied solely on Provider’s net income. If Provider has the legal obligation to pay or collect Taxes for which Client is responsible under this section, the appropriate amount shall be invoiced to and paid by Client, unless Client provides Provider with a valid tax exemption certificate authorized by the appropriate taxing authority.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services or the expiration of all active SOWs, unless earlier terminated in accordance with the provisions of this Section 3. 3.2 Termination for Convenience. Client or Provider may terminate this Agreement or any active SOW, in whole or in part, at any time for any reason or no reason, by providing thirty (30) calendar days' prior written notice to the other Party. Upon receipt of notice of termination for convenience, Provider shall immediately cease all non-essential work, mitigate further expenses, and compile all work-in-progress. Client shall pay Provider for all Services performed and expenses incurred up to the effective date of termination, including any non-cancellable commitments made to third parties in reliance on this Agreement. 3.3 Termination for Cause. Either Party may terminate this Agreement and any active SOW immediately upon written notice if the other Party: (a) materially breaches any representation, warranty, or material obligation under this Agreement and fails to cure such material breach within thirty (30) calendar days following receipt of written notice specifying the breach in reasonable detail; (b) becomes insolvent, makes an assignment for the benefit of creditors, files a petition in bankruptcy, or permits the appointment of a receiver, trustee, or liquidator for all or substantially all of its assets; or (c) ceases to conduct business in the ordinary course. 3.4 Effect of Termination. Upon the expiration or termination of this Agreement for any reason: (a) all licenses and rights granted hereunder shall immediately terminate; (b) Client shall immediately remit payment to Provider for all outstanding unpaid invoices and accrued fees for Services rendered through the effective date of termination; and (c) each Party shall promptly return or destroy, at the disclosing Party’s election, all Confidential Information of the other Party in its possession or control, certifying such destruction in writing upon request. Sections 2, 4, 5, 6, 7, 8, and 9 shall survive any expiration or termination of this Agreement.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Provider Pre-Existing IP. Provider retains sole and exclusive ownership of, and all worldwide intellectual property rights in and to, its pre-existing tools, software frameworks, methodologies, templates, algorithms, know-how, documentation, and generic assets developed prior to or independently of this Agreement (collectively, "Provider IP"). Nothing in this Agreement shall be construed to assign, transfer, or convey any right, title, or interest in Provider IP to Client. 4.2 Client Data and Property. Client retains sole and exclusive ownership of, and all intellectual property rights in and to, all data, materials, trademarks, software, and proprietary content provided by Client to Provider for the execution of the Services (collectively, "Client Data"). Client grants Provider a limited, non-exclusive, revocable, royalty-free license to access, use, store, and process Client Data solely as necessary to perform the Services during the term of this Agreement. 4.3 Deliverables and Work Product. Upon full and final payment of all undisputed fees, milestone payments, and expenses due under this Agreement, Provider hereby assigns to Client all right, title, and interest (including worldwide copyright, patent, and trade secret rights) in and to the custom deliverables explicitly created by Provider for Client pursuant to Exhibit A (the "Deliverables"). 4.4 License Grant to Provider IP. To the extent that any Deliverables incorporate, embed, or rely upon Provider IP, Provider hereby grants Client a perpetual, irrevocable, worldwide, non-exclusive, fully paid-up, transferable license to use, execute, reproduce, and display such Provider IP solely as an integrated and inseparable component of the Deliverables for Client's internal business operations.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or commercially sensitive information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial data, customer lists, source code, trade secrets, pricing models, and technical specifications. 5.2 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public without breach of this Agreement by the Receiving Party; (b) was known to the Receiving Party prior to disclosure without an obligation of confidentiality; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party’s Confidential Information; or (d) is rightfully received from a third party without restriction on disclosure. 5.3 Obligations of Confidentiality. The Receiving Party shall: (a) protect the confidentiality of the Disclosing Party’s Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) not disclose the Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who have a strict need to know such information and are bound by confidentiality obligations at least as restrictive as those contained herein; and (c) not use the Confidential Information for any purpose outside the scope of this Agreement. 5.4 Compelled Disclosure. If the Receiving Party is legally compelled by subpoena, court order, or regulatory demand to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party to enable the Disclosing Party to seek a protective order or other appropriate remedy.
SECTION 6: REPRESENTATIONS & WARRANTIES

Provider represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to enter into this Agreement and perform its obligations hereunder; (c) the Services shall be performed in a professional, workmanlike manner, conforming to generally accepted industry standards and practices; and (d) to Provider’s actual knowledge, the Deliverables will not infringe, misappropriate, or violate any third-party copyright, trademark, patent, or trade secret. 6.2 Client Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE. PROVIDER EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. PROVIDER DOES NOT WARRANT THAT THE SERVICES OR DELIVERABLES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUBCONTRACTORS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICES, OR THE DELIVERABLES, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THE SPECIFIC SOW GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Provider Indemnification. Provider shall defend, indemnify, and hold harmless Client, its affiliates, officers, directors, and employees from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Provider’s gross negligence or willful misconduct in the performance of the Services; or (b) any allegation that the Deliverables (excluding Client Data and third-party components) infringe, misappropriate, or violate any valid third-party intellectual property right. 7.4 Client Indemnification. Client shall defend, indemnify, and hold harmless Provider, its affiliates, officers, directors, employees, and subcontractors from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client’s gross negligence or willful misconduct; (b) Client Data or Client’s breach of its representations and warranties; or (c) the unauthorized modification or misuse of the Deliverables by Client or its agents. 7.5 Indemnification Procedures. Each indemnification obligation is conditioned upon the indemnified party: (a) providing prompt written notice of the claim to the indemnifying party (provided that failure to give prompt notice shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced thereby); (b) granting the indemnifying party sole control over the defense and settlement of the claim (provided that the indemnifying party shall not settle any claim that admits liability or imposes monetary obligations on the indemnified party without its prior written consent); and (c) providing reasonable cooperation and assistance at the indemnifying party's expense.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity (a "Dispute"), the designated project managers of both Parties shall first attempt to resolve the Dispute through good-faith informal negotiations for a period of fifteen (15) business days from the date of written notice of the Dispute.
8.2 Binding Arbitration. If the Dispute cannot be resolved through informal negotiations pursuant to Section 8.1, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator agreed upon by the Parties or appointed by the AAA. The place of arbitration shall be [City, State]. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Notwithstanding anything to the contrary in this Section 8, either Party may seek temporary, preliminary, or permanent injunctive relief or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information without first engaging in arbitration or informal negotiations.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Governing State/Country], without regard to its conflict of laws principles.
9.2 Jurisdiction and Venue. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located in [County, State/Country], for any legal action, suit, or proceeding arising out of or relating to this Agreement. Each Party waives any objection to the laying of venue of any such suit, action, or proceeding in such courts and agrees not to plead or claim in any such court that any such action or proceeding brought in any such court has been brought in an inconvenient forum.
SECTION 10: MISCELLANEOUS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect. 10.2 Entire Agreement. This Agreement, together with Exhibit A and any mutually executed Change Orders, constitutes the final, complete, and exclusive agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous discussions, negotiations, proposals, understandings, and agreements, whether oral or written. 10.3 Amendments and Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by the authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise thereof. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement (excluding payment obligations) if such failure or delay is caused by acts of God, natural disasters, epidemics, pandemics, government restrictions, war, terrorism, civil unrest, strikes, utility failures, or other causes beyond the reasonable control of the affected Party (a "Force Majeure Event"). The affected Party shall promptly notify the other Party in writing upon the occurrence of a Force Majeure Event and shall use commercially reasonable efforts to resume performance as soon as practicable. 10.5 Independent Contractors. The relationship of the Parties established by this Agreement is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the Parties. Neither Party has any authority to bind or obligate the other Party in any manner whatsoever. 10.6 Notices. All notices, requests, consents, claims, demands, and other communications under this Agreement shall be in writing and shall be deemed effectively given: (a) upon personal delivery; (b) when received by certified or registered mail, return receipt requested; or (c) one (1) business day after deposit with a nationally recognized overnight courier service (e.g., FedEx or UPS), postage prepaid, addressed to the designated addresses set forth in the preamble of this Agreement (or to such other address as a Party may designate by written notice). 10.7 Counterparts.
