2. COMPENSATION AND PAYMENT TERMS

Client shall pay Provider the sum of [Amount in USD] (the "Fee"). Invoices shall be issued [e.g., Monthly/Milestone-based] and are due net thirty (30) days from receipt. 5. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Drafting: Copy the above text into a word processor. Replace all bracketed text [ ] with actual data. Do not leave any placeholders blank.
  2. Verification: Confirm that the person signing for the Client and the Provider has the "Actual" or "Apparent" authority to bind their respective entities (e.g., C-level executive, Director, or authorized Manager).
  3. Review: Ensure the "Scope of Services" (Exhibit A) is detailed enough to prevent scope creep. Vague descriptions lead to litigation.
  4. Digital Execution: Utilize a reputable e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). These platforms generate a Certificate of Completion, which is essential for proving the authenticity of the signature in court.
  5. Record Retention: Once signed, save the final PDF in a secure, redundant cloud storage environment (e.g., SharePoint, Google Drive, or a Contract Lifecycle Management [CLM] system). Maintain the document for a minimum of seven (7) years following contract expiration to satisfy potential tax or audit requirements.
