WHEREAS, Provider is engaged in the business of providing specialized [industry/services description] and related professional services;
WHEREAS, Client desires to retain Provider to perform the commercial, technical, and professional services described herein, and Provider desires to perform such services for Client upon the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1: Scope of Services & Engagement
1.1 Engagement. Client hereby engages Provider to provide the commercial, technical, and professional services (the "Services") set forth in this Agreement and any mutually executed Statements of Work (each, an "SOW") issued hereunder. Each SOW shall incorporate the terms of this Agreement by reference. In the event of any direct conflict between the terms of this Agreement and any SOW, the terms of this Agreement shall control unless the SOW expressly states an intention to supersede a specific section of this Agreement.
1.2 Performance Standards. Provider shall perform the Services in a professional, workmanlike manner, in accordance with generally accepted industry standards, and in compliance with all applicable federal, state, and local laws, rules, and regulations. Provider shall allocate sufficient resources, personnel, and expertise to ensure timely and competent completion of the Services.
1.3 Change Orders. Any material alterations, additions, or deletions to the scope of Services must be set forth in a written Change Order signed by authorized representatives of both Parties. A Change Order shall detail the operational adjustments, timeline modifications, and associated financial adjustments resulting from the requested change. Provider shall not be obligated to perform out-of-scope work absent an executed Change Order.
Section 2: Compensation & Payment Terms
2.1 Compensation. In consideration for the full, complete, and timely performance of the Services, Client shall pay Provider the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule or invoicing terms set forth in Exhibit A attached hereto.
2.2 Invoicing & Terms. Provider shall issue invoices to Client in accordance with the agreed payment schedule. Unless otherwise specified in Exhibit A, all undisputed invoices are due and payable within thirty (30) calendar days from the date of receipt of the invoice (Net 30). Payments shall be made in United States Dollars via wire transfer, ACH, or check to the designated account provided by Provider.
2.3 Late Interest & Penalties. Any undisputed amount not paid when due shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, calculated from the date due until the date paid in full. Client shall reimburse Provider for all reasonable costs and expenses (including attorneys' fees and collection agency costs) incurred in collecting overdue payments.
2.4 Taxes. The fees and charges set forth in this Agreement exclude all applicable sales, use, value-added, excise, and similar taxes. Client shall be solely responsible for all such taxes, duties, and levies imposed by any governmental authority, excluding taxes based solely upon Provider’s net income.
Section 3: Term & Termination
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. Client or Provider may terminate this Agreement, or any SOW, for convenience, in whole or in part, at any time upon providing thirty (30) calendar days' prior written notice to the other Party. Upon such termination for convenience, Client shall pay Provider for all Services performed up to the effective date of termination, plus any non-cancellable commitments or expenses reasonably incurred by Provider in reliance upon this Agreement.
3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any material provision of this Agreement and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the breach; (b) becomes insolvent, files a petition in bankruptcy, makes an assignment for the benefit of creditors; or (c) has a receiver, trustee, or similar officer appointed for its property or assets.
3.4 Effect of Termination. Upon termination of this Agreement for any reason: (a) Client shall immediately pay all outstanding undisputed invoices for Services rendered through the date of termination; (b) each Party shall return or destroy, at the disclosing Party’s election, all Confidential Information of the other Party; and (c) Sections 4, 5, 6, 7, 8, and 9 shall survive any expiration or termination of this Agreement.
Section 4: Intellectual Property Ownership & Work Made for Hire
4.1 Provider Pre-Existing IP. All intellectual property, methodologies, software, tools, documentation, know-how, and trade secrets owned or developed by Provider prior to the Effective Date or independently of this Agreement ("Provider IP") shall remain the sole and exclusive property of Provider. Nothing in this Agreement shall be construed to transfer any right, title, or interest in Provider IP to Client.
4.2 Deliverables & Work Made for Hire. Subject to full payment of all applicable fees due under this Agreement, all customized reports, designs, code, materials, and specific deliverables created by Provider specifically for Client pursuant to this Agreement (collectively, the "Deliverables") shall be deemed "work made for hire" to the extent permitted by law. To the extent any Deliverable does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Deliverables, including all intellectual property rights therein.
4.3 License to Provider IP. To the extent that any Deliverables incorporate any Provider IP, Provider hereby grants to Client a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, execute, reproduce, and display such Provider IP solely as embedded in, and necessary for the use and enjoyment of, the Deliverables.
Section 5: Mutual Confidentiality & Non-Disclosure
5.1 Definition. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, customer lists, financial data, software, trade secrets, and technical processes.
5.2 Obligations. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable degree of care; (b) not disclose the Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.
5.3 Exclusions. Confidential Information does not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without restriction; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without a duty of confidentiality.
Section 6: Representations & Warranties
6.1 Provider Warranties. Provider represents and warrants that: (a) it has the full power, capacity, and authority to enter into this Agreement and perform its obligations hereunder; (b) the Services will be performed in a professional and workmanlike manner in accordance with industry standards; and (c) the Deliverables will not infringe, misappropriate, or violate any third-party intellectual property, patent, trademark, copyright, or trade secret right.
6.2 Client Warranties. Client represents and warrants that: (a) it has the full power, capacity, and authority to enter into this Agreement and perform its obligations hereunder; (b) it owns or has obtained all necessary rights, licenses, and permissions to provide any materials, data, or content supplied to Provider for use in connection with the Services; and (c) its provision and use of such materials will not violate any applicable law or third-party rights.
6.3 Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Section 7: Limitation of Liability & Indemnification
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Indemnification by Provider. Provider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorneys' fees) arising out of or resulting from: (a) Provider’s material breach of this Agreement; (b) Provider’s willful misconduct or gross negligence; or (c) any allegation that the Deliverables infringe, misappropriate, or violate any third-party intellectual property right.
7.4 Indemnification by Client. Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorneys' fees) arising out of or resulting from: (a) Client’s material breach of this Agreement; (b) Client’s willful misconduct or gross negligence; or (c) any materials, data, or instructions provided by Client that infringe or violate any third-party rights or applicable laws.

The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with the AAA Rules. The arbitrator's award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Nothing in this Section 8 shall prevent either Party from seeking preliminary injunctive relief, temporary restraining orders, or other equitable remedies from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information pending the constitution of an arbitral tribunal.
Section 9: Governing Law & Jurisdiction
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles.
9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State], for any legal action, suit, or proceeding arising out of or relating to this Agreement.
Section 10: Miscellaneous
10.1 Severability.
