SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first attempt in good faith to resolve such dispute through senior management negotiations for a period of thirty (30) calendar days from receipt of written notice of dispute. 8.2 Binding Arbitration. If the dispute is not resolved through good faith negotiations within thirty (30) calendar days, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with AAA rules. The award rendered by the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction. 8.3 Injunctive Relief.
