3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Engagement

1.1 Engagement. Client hereby engages Provider to provide professional academic research, writing, editing, and consulting services specifically tailored toward the creation of a Master’s of Education (M.Ed.) research proposal (collectively, the "Services"). The specific parameters, timelines, and academic milestones of the Services are detailed in Statement of Work (SOW) Exhibit A attached hereto and incorporated by this reference.
1.2 Standard of Performance. Provider shall perform the Services in a professional, workmanlike manner, in accordance with generally accepted academic research standards, institutional review board (IRB) ethical guidelines, and the specific academic formatting requirements (e.g., APA 7th edition, Chicago manual of style) specified by Client’s academic institution.
1.3 Client Cooperation. Client shall provide Provider with all necessary source materials, institutional guidelines, course syllabi, data sets, and timely feedback required for the execution of the Services. Client acknowledges that any delay in providing such materials may result in a commensurate extension of project deadlines.

Section 2. Compensation & Payment Terms

2.1 Total Fee. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the payment schedule set forth in Exhibit A.
2.2 Invoicing & Payment Schedule. Provider shall issue invoices to Client upon the achievement of designated project milestones. All invoices are due and payable within thirty (30) calendar days of the invoice date (Net 30). Payments shall be remitted via wire transfer, electronic ACH, or designated corporate payment platform as specified on the invoice.
2.3 Late Interest & Penalties. Any invoiced amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. Provider reserves the right to suspend the performance of any ongoing Services until all past-due balances and accrued interest are paid in full.
2.4 Expenses. Client shall reimburse Provider for all pre-approved, out-of-pocket expenses reasonably incurred in connection with the performance of the Services, including specialized database access fees, transcription services, and institutional data acquisition costs, subject to the submission of valid receipts.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services or until terminated in accordance with this Section 3 (the "Term").
3.2 Termination for Convenience. Client may terminate this Agreement, in whole or in part, for any reason or no reason, upon providing fourteen (14) days prior written notice to Provider. Upon such termination, Client shall pay Provider for all Services performed up to the effective date of termination, plus any non-cancelable commitments incurred by Provider.
3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such material breach within fourteen (14) calendar days of receipt of written notice detailing the breach.
3.4 Effect of Termination. Upon termination of this Agreement for any reason, Provider shall deliver to Client all work product, drafts, data sets, and deliverables completed up to the date of termination, provided that Client has paid all outstanding fees due under Section 2. Sections 4, 5, 6, 7, 8, and 9 shall survive any expiration or termination of this Agreement.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Work Made for Hire. Provider acknowledges that the final written Research Proposal and associated deliverables created specifically for Client pursuant to this Agreement shall, to the maximum extent permitted by law, be deemed a "work made for hire" for Client.
4.2 Assignment of Rights. To the extent that any deliverable does not qualify as a work made for hire under applicable law, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such deliverables, including all copyright, trademark, and other intellectual property rights therein, upon receipt of final payment of the Contract Price.
4.3 Provider Pre-Existing IP. Notwithstanding anything to the contrary herein, Provider retains sole ownership of all pre-existing methodologies, templates, research frameworks, algorithms, know-how, and proprietary tools utilized by Provider in the creation of the deliverables ("Provider IP"). Provider grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use such Provider IP solely as incorporated into the final deliverables.
4.4 Academic Integrity & Attribution. Client acknowledges and agrees that the Services provided are intended to serve as structural, editorial, and methodological frameworks and advisory support. Client assumes full academic and ethical responsibility for the submission, defense, and authorship of the final academic work submitted to Client's educational institution.

7.3 Client Indemnification. Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client's breach of this Agreement; (b) misuse of the research deliverables in violation of institutional academic integrity policies; or (c) violation of any applicable laws, including data privacy statutes, by Client.

Section 8. Dispute Resolution & Arbitration
