Step 1: Content Preparation & Field Population

  1. Open the document template in Microsoft Word (.docx) or Google Docs.
  2. Locate all bracketed placeholder text enclosed in square brackets (e.g., [Company Full Legal Name], [Effective Date], [Amount in USD]).
  3. Replace all bracketed fields with exact corporate legal data, verified against official state registry filings (e.g., Secretary of State records). Ensure all financial figures and dates match internal purchase orders and statements of work.

  1. Draft and attach Exhibit A (Statement of Work & Research Protocol) detailing operational milestones, technical deliverables, and research timelines.
  2. Draft and attach Exhibit B (Fee Schedule & Milestones) linking exact dollar disbursements to verifiable project milestones.

Step 3: Legal & Compliance Review

  1. Transmit the populated draft to internal or external corporate legal counsel to ensure alignment with corporate risk tolerance, insurance requirements (e.g., Errors & Omissions, General Liability), and local statutory regulations.
