The Researcher shall perform all work with a high degree of professional and scientific competence, adhering strictly to the timelines, milestones, and deliverables specified in Exhibit A.

Any material modification, expansion, or reduction of the scope of the Research Project shall be set forth in a written change order signed by the authorized representatives of both Parties (the "Change Order"). The Researcher shall not be obligated to perform any work outside the defined scope until a mutually agreed-upon Change Order detailing adjustments to compensation and delivery timelines has been fully executed.

The Researcher maintains the right to publish academic and scientific findings derived from the Research Project, subject to the review provisions set forth in Section 5 (Confidentiality). The Client acknowledges that the primary objective of academic research includes the dissemination of knowledge and public education.

If the Client fails to pay any undisputed invoice within fifteen (15) days of receiving written notice of delinquency, the Researcher reserves the right to suspend performance under this Agreement until all delinquent balances and accrued interest are received in full.
2.5 Taxes. The Contract Price is exclusive of all applicable federal, state, and local sales, use, value-added, or excise taxes. The Client shall be solely responsible for the payment of all such taxes, excluding taxes levied upon the net income of the Researcher.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Research Project and delivery of final reports, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. The Client may terminate this Agreement, in whole or in part, for any reason or no reason, upon providing thirty (30) days prior written notice to the Researcher. 4.2 Foreground Intellectual Property (Inventions & Data). If the Client fails to exercise this option within the stipulated timeframe, the Researcher shall retain unencumbered rights to commercialize or license the Foreground IP to third parties.

5.2 Obligations of Confidentiality. The Receiving Party shall:
- (a) Maintain the strict confidentiality of all Disclosing Party Confidential Information using at least the same degree of care it uses to protect its own proprietary information, but in no event less than a reasonable standard of care;
- (b) Restrict disclosure of Confidential Information solely to its employees, directors, legal counsel, and academic contractors who have a strict need to know such information for the execution of the Research Project and who are bound by written confidentiality obligations at least as restrictive as those contained herein; and
- (c) Not use the Confidential Information for any purpose outside the scope of this Agreement.
5.3 Exclusions. Confidential Information shall not include information that:
- (a) Is or becomes generally known to the public through no breach of this Agreement by the Receiving Party;

- (c) Is rightfully received from a third party without restriction and without breach of any confidentiality obligation; or
- (d) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party’s Confidential Information.
5.4 Compelled Disclosure. If the Receiving Party is legally compelled by a court, regulatory agency, or government subpoena to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

- (b) It has all requisite corporate power and authority to execute, deliver, and perform its obligations under this Agreement; and
- (c) The execution and performance of this Agreement do not violate any applicable law, rule, regulation, or contractual commitment to which it is bound.
6.2 Researcher Warranties. The Researcher warrants that the research services will be performed in a professional, workmanlike manner, in accordance with generally accepted academic and scientific standards.
6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, THE RESEARCHER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE RESEARCH PROJECT IS EXPERIMENTAL IN NATURE, AND THE RESEARCHER DOES NOT GUARANTEE THAT ANY SPECIFIC COMMERCIAL OR SCIENTIFIC OUTCOME WILL BE ACHIEVED.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Aggregate Liability Cap. The total aggregate liability of either Party arising out of or relating to this Agreement, under any and all legal theories, shall be strictly limited to the total Contract Price actually paid by the Client to the Researcher under this Agreement in the twelve (12) months preceding the event giving rise to liability.
7.3 Client Indemnification. The Client shall defend, indemnify, and hold harmless the Researcher, its trustees, officers, employees, agents, and academic contractors from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney’s fees) arising out of or resulting from:

8.2 Binding Arbitration. If the dispute remains unresolved following the thirty (30) day negotiation period, the controversy shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with AAA rules. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having competent jurisdiction.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.
SECTION 10: MISCELLANEOUS PROVISIONS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
10.2 Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed signature page by electronic mail (PDF) or digital signature platform (e.g., DocuSign) shall be fully effective as physical delivery of an original executed copy.
