1. PARTIES AND RECITALS

This Promissory Note (the “Note”) is entered into as of the Effective Date by and between [Borrower Full Legal Name], with a principal address of [Borrower Address] (the “Borrower”), and [Lender Full Legal Name], with a principal address of [Lender Address] (the “Lender”).

WHEREAS, the Borrower desires to borrow from the Lender, and the Lender desires to lend to the Borrower, the principal sum of [Amount in USD] (the “Principal Amount”), subject to the terms and conditions set forth herein.

2. PROMISE TO PAY

For value received, the Borrower promises to pay to the Lender the Principal Amount, together with interest on the unpaid principal balance at a rate of [Interest Rate]% per annum, calculated on the basis of a 365-day year.

  • Maturity Date: The entire remaining unpaid balance of the Principal Amount and any accrued interest shall be due and payable in full on [Maturity Date].

4. PREPAYMENT

6. LATE FEES AND COLLECTION COSTS

If any payment is not received by the Lender within [Number] days of the due date, a late fee of [Amount or Percentage] shall be assessed. 9. ENTIRE AGREEMENT

This Note constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, understandings, or agreements, whether written or oral. This Note may not be amended or modified except by a written instrument signed by both parties.

  1. Drafting: Replace all bracketed information ([ ]) with the specific details of the transaction. Ensure all dates and financial figures are double-checked for accuracy.
  2. Authority Verification: Ensure the individuals signing have the legal authority to bind their respective entities (check corporate bylaws or board resolutions if applicable).
  3. Execution:
    • Physical: Print two original copies; have both parties sign and date each. Keep one original for each party.
    • Digital: Use a platform such as DocuSign, Adobe Sign, or HelloSign. Ensure the "Audit Trail" feature is enabled to verify the identity of the signers.
