3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Scope of Services & Research Engagement
1.1 Research Program. University shall use reasonable commercial and academic endeavors to perform and complete the research project entitled "[Insert Research Proposal Title]" (the "Research Project"), more fully described in the Statement of Work attached hereto as Schedule A (the "Research Proposal"). 1.2 Principal Investigator. The Research Project shall be supervised and directed by [Name of Principal Investigator] as the Principal Investigator (the "PI"). If the PI becomes unable or unwilling to continue to direct the Research Project, University shall promptly notify Sponsor and propose a mutually acceptable substitute. If a substitute cannot be agreed upon within thirty (30) days, either Party may terminate this Agreement pursuant to Section 3. 1.3 Academic Freedom and Publication. Nothing in this Agreement shall restrict the right of University researchers, faculty members, and students to publish, present, or teach the academic results of the Research Project, subject to the review provisions for Confidential Information and Patentable Inventions set forth in Sections 5 and 6 herein.
2. Compensation & Payment Terms
2.1 Total Contract Value. In consideration for the performance of the Research Project and the grant of rights hereunder, Sponsor shall pay to University the total fixed sum of [Amount in USD/GBP] (the "Contract Price"), payable in accordance with the milestone schedule set forth in Schedule B. 2.2 Invoicing. University shall issue formal, itemized invoices to Sponsor in accordance with the milestone schedule or on a calendar-quarterly basis. Invoices shall be sent to Sponsor’s billing contact at [Sponsor Billing Email/Address]. 2.3 Payment Terms. All invoices shall be due and payable in full within thirty (30) days of the invoice date (Net 30). Any undisputed amounts not paid when due shall accrue interest at the statutory rate pursuant to the UK Late Payment of Commercial Debts (Interest) Act 1998, calculated daily from the due date until the date of actual payment in full. 2.5 Taxes. The Contract Price is exclusive of any applicable Value Added Tax (VAT), sales, use, or similar taxes. Sponsor shall be responsible for all such taxes, duties, or government levies imposed upon the services rendered under this Agreement, excluding taxes based solely on University's net income.
3. Term & Termination
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Research Project and delivery of all final reports, or until [End Date], whichever occurs first, unless earlier terminated in accordance with this Section 3. 3.2 Termination for Convenience. Sponsor may terminate this Agreement for convenience at any time upon providing sixty (60) days prior written notice to University. Upon such termination, Sponsor shall pay University for all non-cancelable commitments, non-recoverable costs incurred, and a pro-rata share of the research services performed up to the effective date of termination, not to exceed the total Contract Price. 3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such material breach within thirty (30) days after receipt of written notice detailing the specific breach. 3.4 Effect of Termination. All intellectual property, inventions, data, discoveries, and copyrightable works specifically generated, conceived, or reduced to practice solely by University personnel in the direct performance of the Research Project ("Foreground IP") shall be owned by University. 4.3 Commercialization Options. University hereby grants to Sponsor an exclusive, first-negotiation option to obtain a commercial, royalty-bearing license to University’s rights in the Foreground IP, exercisable upon written notice within ninety (90) days following the disclosure of such Foreground IP to Sponsor. The commercial terms and financial compensation of such license shall be negotiated in good faith by the Parties.
5. Mutual Confidentiality & Non-Disclosure
5.1 Definition. "Confidential Information" means any proprietary technical, scientific, or business information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") under this Agreement that is marked as confidential or, if disclosed orally, summarized in writing within thirty (30) days of disclosure. 5.2 Obligations. The Receiving Party shall hold all Confidential Information in strict confidence, using the same degree of care it uses to protect its own confidential information (but no less than a reasonable degree of care), and shall not disclose it to any third party except to its employees, academic staff, and professional advisors who have a need to know and are bound by equivalent confidentiality obligations. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by applicable law, court order, or Freedom of Information Act (FOIA) requests applicable to UK public bodies, provided the Receiving Party gives prompt notice to the Disclosing Party.

University performs the Research Project on an academic and best-efforts basis. UNIVERSITY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE RESULTS OF THE RESEARCH PROJECT, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
7. Limitation of Liability & Indemnification
7.1 Consequential Damages Waiver. Except for breaches of confidentiality or intellectual property infringement, neither Party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or in connection with this Agreement. 7.2 Liability Cap. Each Party’s total aggregate liability under this Agreement, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to the total Contract Price actually paid by Sponsor to University under this Agreement. 7.3 Sponsor Indemnification. Sponsor shall defend, indemnify, and hold harmless University, its council members, officers, employees, and students from and against any third-party claims, liabilities, losses, damages, or costs (including reasonable legal fees) arising out of Sponsor’s commercialization or use of the Research Project results or Foreground IP.
8. Dispute Resolution & Arbitration
8.1 Negotiation. In the event of any dispute arising out of or relating to this Agreement, the authorized representatives of the Parties shall first attempt to resolve the dispute through good-faith negotiations within thirty (30) days of written notice by either Party. 8.2 Arbitration. The language of the arbitration shall be English.
