3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & RESEARCH PROPOSAL

1.1 Scope of Engagement. Provider shall perform the qualitative research services (the "Services") outlined with particularity in Exhibit A (Statement of Work & Qualitative Research Proposal), which is attached hereto and incorporated herein by this reference. The Services shall encompass, without limitation: research design, recruitment screener development, semi-structured interview guide creation, moderation of focus groups or in-depth interviews (IDIs), verbatim transcription, thematic coding, data synthesis, and delivery of the final qualitative research report.

1.2 Standard of Performance. Provider shall execute all Services in a professional, workmanlike manner, in accordance with the highest industry standards, prevailing academic and commercial research ethics, and applicable professional codes of conduct (e.g., Insights Association, ESOMAR). Provider warrants that its personnel possess the requisite skills, training, and credentials to execute the qualitative methodology specified in Exhibit A.

1.3 Project Changes. Any material modification, expansion, or reduction of the scope, methodology, sample size, or timeline set forth in Exhibit A shall require a formal, written Change Order executed by the authorized representatives of both Parties. Provider shall not be obligated to perform out-of-scope tasks without prior written agreement regarding adjustments to compensation and delivery schedules.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Total Compensation. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total fixed fee of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Exhibit B attached hereto.

2.2 Invoicing Schedule. Provider shall issue invoices to Client upon the achievement of specific project milestones or on a calendar-monthly basis as detailed in Exhibit B. Client shall remit payment for all undisputed invoice amounts within thirty (30) calendar days of the invoice receipt date (Net 30).

2.3 Late Payment & Interest. Any undisputed invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. Client shall reimburse Provider for all reasonable costs and expenses (including attorneys' fees and collection agency costs) incurred in collecting delinquent payments.

2.4 Expenses. Unless explicitly stated otherwise in Exhibit A, the Contract Price is inclusive of all standard operational expenses, software licensing, participant recruitment overhead, and administrative costs. Pre-approved extraordinary out-of-pocket expenses (e.g., travel, specialized facility rentals, non-standard respondent incentives) shall be reimbursed by Client at cost, subject to prior written authorization and presentation of valid itemized receipts.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and delivery of all final reports, unless earlier terminated in accordance with the provisions of this Section 3.

3.2 Termination for Convenience. Client may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing thirty (30) calendar days prior written notice to Provider. Upon receipt of such notice, Provider shall immediately cease performance of the terminated Services and take all commercially reasonable steps to minimize wind-down costs. Client shall pay Provider for all Services satisfactorily performed up to the effective date of termination, plus any non-cancellable third-party commitments incurred in good faith prior to notice.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its representations, warranties, or material obligations hereunder, and fails to cure such material breach within fifteen (15) calendar days following receipt of written notice specifying the breach in reasonable detail (the "Cure Period").

3.4 Insolvency & Bankruptcy. This Agreement shall terminate automatically, without notice, if either Party becomes insolvent, makes an assignment for the benefit of creditors, files a voluntary petition in bankruptcy, is adjudicated bankrupt or insolvent, or has a receiver or trustee appointed for substantially all of its assets.

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

4.1 Client Data & Background IP. Client retains all right, title, and interest in and to all pre-existing Client intellectual property, proprietary data, trademarks, trade secrets, and confidential materials provided to Provider under this Agreement ("Client Background IP"). Provider retains all right, title, and interest in and to its pre-existing methodologies, analytical frameworks, software tools, taxonomies, and general know-how ("Provider Background IP").

4.2 Work Made for Hire & Deliverables. Subject to full payment of the Contract Price, all final qualitative research reports, synthesized insights, transcribed data sets derived exclusively for Client, and customized deliverables specifically created by Provider for Client pursuant to Exhibit A (collectively, the "Deliverables") shall be deemed "work made for hire" under United States copyright law. To the extent that any Deliverable does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Deliverables, including all intellectual property rights therein.

4.3 Provider Methodology Retention. Notwithstanding Section 4.2, Provider reserves and retains sole ownership of all Provider Background IP, general qualitative coding templates, proprietary interview architectures, and generalized research insights that are not uniquely identifying to Client’s proprietary products or business operations. Provider grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use Provider Background IP solely to the extent incorporated into, and necessary for the utilization of, the Deliverables.
