Section 4. Intellectual Property Ownership & Work Made for Hire
4.1 Work Made for Hire. Provider agrees that all research memoranda, analyses, drafts, reports, charts, software, documentation, and other work product specifically conceived, created, or developed by Provider under this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" under the copyright laws of the United States.
4.2 Assignment of Rights. To the extent that any Work Product does not qualify as a work made for hire under applicable law, Provider hereby irrevocably, absolutely, and unconditionally assigns, transfers, and conveys to Client, and its successors and assigns, all right, title, and interest worldwide in and to such Work Product, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein, free and clear of all liens, encumbrances, and adverse claims.
4.3 Provider Pre-Existing IP. Notwithstanding Sections 4.1 and 4.2, Provider retains all right, title, and interest in and to its pre-existing methodologies, research tools, templates, proprietary databases, generic know-how, and generalized legal frameworks developed independently of this engagement ("Provider Background IP"). 7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.4 Client Indemnification. Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any breach by Client of its representations, warranties, or obligations under this Agreement; or (b) Client’s misuse or unauthorized modification of the Work Product.
Section 8. Dispute Resolution & Arbitration
8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through senior management negotiations. Either Party may give the other Party written notice of any Dispute. Within fifteen (15) days of such notice, designated executives of each Party shall meet to resolve the matter.

If such modification is not possible, the provision shall be deemed severed from this Agreement, and the remaining provisions shall remain in full force and effect.
10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by facsimile, email (PDF), or digital signature platform (e.g., DocuSign, Adobe Sign) shall be equally effective as delivery of an original executed counterpart.
