3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1: Scope of Services & Engagement
1.1 Research Proposal Incorporation. The Provider shall perform the academic and empirical research services set forth in the comprehensive research proposal attached hereto as Exhibit A (the "Research Proposal"), entitled "[Insert Exact Title of Linguistic Research Project]". The scope includes, but is not limited to, linguistic corpus collection, syntax and semantic parsing, experimental design, subject interviews, data coding, and delivery of the final analytical report.
1.2 Standard of Performance. The Provider warrants that all research services shall be executed in a professional, workmanlike manner, in accordance with the highest ethical standards of academic and empirical linguistic research, and in strict compliance with all applicable institutional review board (IRB) protocols, human subjects regulations, and statutory privacy laws.
1.3 Project Milestones & Deliverables. The Provider shall deliver the milestones set forth in Exhibit A according to the agreed timeline. Any modification, expansion, or reduction of the research scope must be executed via a written Change Order signed by authorized representatives of both parties.
Section 2: Compensation & Payment Terms
2.1 Total Compensation. In consideration for the full and faithful performance of the research services under this Agreement, the Client shall pay to the Provider the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Exhibit B.
2.2 Invoicing & Payment Schedule. The Provider shall submit formal, itemized invoices to the Client upon the completion of each designated research milestone or upon a periodic monthly basis as outlined in Exhibit B. All invoices are due and payable within thirty (30) calendar days from the date of receipt by the Client (Net 30).
2.3 Late Payments & Interest. Any undisputed invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. The Provider reserves the right to suspend research services upon ten (10) business days' written notice if any invoice remains unpaid thirty (30) days past its due date.
2.4 Expenses. Unless otherwise explicitly provided in Exhibit B, the Contract Price includes all routine operational, administrative, and software expenses incurred by the Provider. Pre-approved travel, specialized third-party licensing fees, or extraordinary subject compensation costs shall be reimbursed by the Client at actual cost, subject to prior written authorization and provision of supporting receipts.
Section 3: Term & Termination
3.1 Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the research services and delivery of the final report, or until [Termination Date], whichever occurs first, unless earlier terminated in accordance with this Section 3.
3.2 Termination for Convenience. The Client or the Provider may terminate this Agreement, in whole or in part, for any reason or no reason, by providing sixty (60) calendar days' prior written notice to the other party. Upon such termination for convenience, the Client shall pay the Provider for all services satisfactorily rendered, non-cancellable third-party commitments incurred, and a pro-rata portion of the Contract Price up to the effective date of termination.
3.3 Termination for Cause (Breach). If either party materially breaches any provision of this Agreement, the non-breaching party may provide written notice specifying the nature of the breach and demanding cure. If the breaching party fails to cure such material breach within thirty (30) calendar days of receipt of such notice, this Agreement shall automatically terminate at the conclusion of the cure period.
3.4 Effect of Termination. Upon termination of this Agreement for any reason, the Provider shall promptly deliver to the Client all completed work product, raw data (subject to human subjects confidentiality protections), and interim deliverables created up to the date of termination. The Client shall remit all outstanding payments due for services rendered within fifteen (15) business days of receiving the final termination invoice.

All custom research reports, analytical models, transcribed corpora, semantic annotations, documentation, and specific deliverables generated by the Provider specifically for the Client pursuant to this Agreement (collectively, the "Foreground IP") shall be deemed a "work made for hire" to the maximum extent permitted by law. To the extent any Foreground IP does not qualify as a work made for hire, the Provider hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest worldwide in and to such Foreground IP, including all copyright, patent, and trade secret rights.
4.3 Provider's Retained Rights. Notwithstanding Section 4.2, the Provider retains an irrevocable, perpetual, non-exclusive, royalty-free, worldwide license to use, publish, and present academic findings, generalized linguistic methodologies, and statistical insights derived from the research, provided that such publications and presentations strictly exclude any Confidential Information of the Client and do not disclose proprietary commercial applications.

5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, court order, or governmental agency, provided the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.

7.1 Consequential Damages Waiver. EXCEPT FOR BREACHES OF SECTION 5 (CONFIDENTIALITY), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5, INTELLECTUAL PROPERTY INDEMNIFICATION, OR WILLFUL MISCONDUCT, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE TOTAL CONTRACT PRICE ACTUALLY PAID BY THE CLIENT TO THE PROVIDER UNDER THIS AGREEMENT.
7.3 Indemnification by Provider. The Provider shall defend, indemnify, and hold harmless the Client, its officers, directors, and employees from and against any third-party claims, liabilities, losses, damages, and reasonable attorney's fees arising out of or resulting from: (a) the Provider's gross negligence or willful misconduct in the performance of the research services; or (b) any allegation that the deliverables or Foreground IP infringe any third-party intellectual property right.
7.4 Indemnification by Client. The Client shall defend, indemnify, and hold harmless the Provider, its officers, directors, academic personnel, and employees from and against any third-party claims, liabilities, losses, damages, and reasonable attorney's fees arising out of or resulting from: (a) the Client's misuse of the research deliverables or Foreground IP; (b) the Client's breach of this Agreement; or (c) the Client's provision of inaccurate or unauthorized source data to the Provider.

The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language.
