3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Scope of Services & Engagement

1.1 Engagement. Client hereby retains Provider, and Provider hereby accepts engagement, to independently design, execute, and deliver the business administration research project set forth in the Research Proposal Schedule attached hereto as Exhibit A (the "Services").

Provider warrants that all empirical data collection, statistical modeling, and analytical reporting shall be conducted with objective scientific rigor and empirical validity.

1.4 Project Modifications. Any material modification, expansion, or reduction of the Scope of Services shall require a formal written Change Order executed by authorized representatives of both Parties. Such Change Order shall explicitly state the adjustments to compensation, project milestones, and delivery timelines.

Section 2: Compensation & Payment Terms

2.1 Total Fee. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total fixed fee of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth below.

2.2 Milestone Payment Schedule:

  • Milestone 1: [Percentage, e.g., 30%] upon execution of this Agreement and delivery of the Final Research Methodology Plan ($[Amount]).
  • Milestone 2: [Percentage, e.g., 40%] upon completion of empirical data collection and submission of the Interim Findings Report ($[Amount]).
  • Milestone 3: [Percentage, e.g., 30%] upon delivery and acceptance of the Final Comprehensive Research Report and dataset ($[Amount]).

4.3 Provider Pre-Existing IP. Notwithstanding anything to the contrary herein, Provider retains sole and exclusive ownership of all pre-existing methodologies, research frameworks, proprietary algorithms, software code, know-how, and templates owned or developed by Provider prior to the Effective Date or developed independently of this Agreement ("Provider IP"). 5.4 Legal Compulsion. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or regulatory process to disclose any Confidential Information, the Receiving Party shall provide prompt prior written notice to the Disclosing Party to allow the Disclosing Party to seek a protective order or other appropriate remedy.

BUSINESS RESEARCH INVOLVES PROBABILISTIC MODELING AND FORECASTING; PROVIDER DOES NOT GUARANTEE SPECIFIC COMMERCIAL, FINANCIAL, OR OPERATIONAL OUTCOMES FOR CLIENT.

Section 7: Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.

10.4 Force Majeure. Neither Party shall be liable for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by acts of God, natural disasters, flood, fire, earthquake, war, terrorism, civil unrest, labor strikes, pandemics, governmental embargoes, or other catastrophic events beyond the reasonable control of the affected Party ("Force Majeure Event").
