1. LEGAL NOTICE & COMPLIANCE DISCLAIMER

3. OPERATIVE CLAUSES & TERMS

Clause 1: Grant of License

1.1 The Licensor, being the lawful owner of the Scheduled Premises, hereby grants a revocable, non-transferable license to the Licensee to occupy and use the Scheduled Premises for strictly residential purposes only, and for no other purpose whatsoever. 1.2 This Agreement does not create any tenancy rights, leasehold interest, or any other real property interest in favor of the Licensee under the Transfer of Property Act, 1882, or any applicable state rent control legislation. The Licensor retains legal possession of the Scheduled Premises at all times.

Clause 2: Term & Renewal

2.1 The License Period shall commence on [Start Date] and shall automatically expire on [End Date], without requiring any notice to quit from the Licensor. 2.2 Upon expiry of the License Period, the Licensee shall peacefully vacate and hand over vacant possession of the Scheduled Premises to the Licensor. 2.3 The License Period may be renewed subject to mutual written consent of both Parties executed via a fresh addendum or agreement, with a mandatory escalation of [Percentage]% on the prevailing License Fee.

Clause 3: License Fee & Payment Terms

Clause 5: Utilities and Maintenance

5.1 The Licensee shall promptly pay all utility charges for electricity and water consumed in the Scheduled Premises based on actual sub-meter or utility provider bills, directly to the authorities or the Licensor throughout the License Period. 5.2 Monthly society maintenance charges, if applicable, amounting to INR [Amount] shall be borne by [the Licensor / the Licensee].

Clause 6: Covenants and Obligations of the Licensee

The Licensee covenants and agrees with the Licensor as follows: 6.1 Use: To use the Scheduled Premises strictly for residential purposes for the Licensee and their immediate family members (totaling not more than [Number] occupants). 6.2 No Subletting: Not to assign, sublet, transfer, part with possession of, or create any third-party encumbrance or interest over the Scheduled Premises, in whole or in part. 6.3 Structural Alterations: Not to make any structural alterations, additions, or modifications to the Scheduled Premises, walls, flooring, or permanent fixtures without the prior written consent of the Licensor. 6.4 Nuisance & Legality: Not to store hazardous, flammable, or illegal substances on the Scheduled Premises, and not to conduct any commercial activity, political gathering, or illegal acts that cause nuisance to neighbors or violate municipal bylaws. 6.5 Maintenance: To maintain the interior of the Scheduled Premises, electrical fittings, sanitary installations, and fixtures in good, tenantable condition, subject to normal wear and tear.

Clause 7: Rights and Obligations of the Licensor

7.1 The Licensor covenants that the Licensee, paying the License Fee and performing the covenants herein, shall peaceably hold and enjoy the Scheduled Premises during the License Period without interruption by the Licensor or persons claiming under them. 7.2 The Licensor or their authorized agents shall have the right to enter the Scheduled Premises with prior notice of at least [Number] hours to inspect the condition of the premises or execute necessary structural repairs.

Clause 8: Termination

8.1 By Notice: Either Party may terminate this Agreement by issuing a clear, written notice of termination of not less than [Number] ([30/60/90]) days to the other Party, or payment of License Fee in lieu thereof. 8.2 For Breach: The Licensor may terminate this Agreement immediately via written notice if the Licensee:

9.1 Upon termination or expiration of this Agreement, if the Licensee fails to vacate the Scheduled Premises, the Licensee shall be deemed an illegal occupant (trespasser) and shall be liable to pay liquidated damages/mesne profits at the rate of INR [Amount] per day for each day of unauthorized holdover, without prejudice to the Licensor's right to initiate eviction proceedings under applicable laws.

Clause 10: Governing Law and Dispute Resolution

10.1 This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India. 10.2 Any dispute, controversy, or claim arising out of or relating to this Agreement, including its interpretation, execution, or termination, shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
