  3. Maintenance: Lessee, at its own expense, shall maintain the Equipment in optimal mechanical condition. Lessee shall not alter, modify, or affix attachments to the Equipment without prior written consent from Lessor.

5. Risk of Loss, Damage, and Insurance

  1. Risk of Loss: Lessee assumes all risk of loss, damage, destruction, theft, or disappearance of the Equipment from any cause whatsoever ("Loss") from the time the Equipment leaves Lessor's facility until it is returned.
  2. Insurance: Lessee shall, at its own expense, maintain comprehensive commercial general liability insurance (minimum limits of [$1,000,000] per occurrence) and property damage/casualty insurance covering the full replacement value of the Equipment. Lessor shall be named as an additional insured and loss payee. Certificates of insurance shall be delivered to Lessor prior to the Delivery Date.

6. Warranties and Limitation of Liability

7. Indemnification

Lessee shall defend, indemnify, and hold harmless Lessor, its officers, directors, employees, agents, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or connected with the delivery, operation, maintenance, condition, or return of the Equipment, or any breach of this Agreement by Lessee.

8. Default and Remedies

  1. Events of Default: Lessee shall be in default if: (a) Lessee fails to pay any rent or sum when due; (b) Lessee breaches any other provision of this Agreement; (c) Lessee becomes insolvent, files for bankruptcy, or undergoes liquidation.
  2. Remedies: Upon the occurrence of a default, Lessor may, at its sole option: (a) terminate this Agreement; (b) declare all future rental payments immediately due and payable; (c) repossess the Equipment without judicial process, entering upon Lessee's premises for such purpose without liability for trespass; and (d) pursue any other remedy available at law or in equity.

9. Miscellaneous
