1. PARTIES & DEFINITIONS

This Equipment Rental Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

2. RENTAL TERM & DELIVERY

  2. Qualified Operators: Lessee shall permit only trained, certified, and experienced personnel to operate the Equipment. Under no circumstances shall the Equipment be operated while under the influence of alcohol, drugs, or impairing substances.
  3. Location and Inspection: The Equipment shall remain at the Site and shall not be moved without Lessor's prior written consent. Lessor reserves the right to enter the Site at any reasonable time to inspect the condition and operation of the Equipment.
  4. Maintenance and Repairs: Lessee, at its sole expense, shall maintain the Equipment in the same condition as received, normal wear and tear excepted. Lessee shall not service, alter, or repair the Equipment without Lessor’s prior written authorization. Consumables and daily maintenance (e.g., fluid levels, lubrication, cleaning) are the sole responsibility of Lessee.

5. RISK OF LOSS, DAMAGE & INSURANCE

  1. Risk of Loss: Lessee assumes all risks of loss, damage, destruction, theft, or disappearance of the Equipment from any cause whatsoever during the Rental Period, from the moment of delivery until the Equipment is returned to and accepted by Lessor.
  2. Damage Reporting: In the event of any loss, damage, or malfunction, Lessee shall immediately notify Lessor in writing within [24] hours. Lessee shall be liable for the full cost of repair (restoring to pre-loss condition) or the replacement cost of the Equipment, at Lessor's discretion.
  3. Insurance Requirements: Throughout the Rental Period, Lessee shall, at its sole expense, maintain:
    • Commercial General Liability (CGL) insurance with limits not less than $1,000,000 per occurrence / $2,000,000 aggregate, naming Lessor as an additional insured.
    • Property / Inland Marine Insurance covering the Equipment for its full replacement value, naming Lessor as loss payee.
    • Certificates of insurance evidencing such coverage shall be delivered to Lessor prior to delivery of the Equipment.

6. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

  1. AS-IS CONDITION: LESSOR LEASES THE EQUIPMENT TO LESSEE "AS IS" AND "WITH ALL FAULTS." LESSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  2. Limitation of Liability: Lessor shall not be liable to Lessee for any indirect, incidental, special, punitive, or consequential damages (including lost profits, operational downtime, or business interruption) arising out of or related to this Agreement or the use/performance of the Equipment, regardless of the legal theory asserted.
  3. Indemnification: Lessee shall defend, indemnify, and hold harmless Lessor, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or connected with the delivery, operation, maintenance, condition, or return of the Equipment, or Lessee's breach of this Agreement.

7. DEFAULT & TERMINATION

  1. Events of Default: Lessee shall be in default under this Agreement if:
    • Lessee fails to pay any rent or other sum when due;
    • Lessee breaches any covenant, representation, or warranty contained herein;
    • Lessee becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors; or
    • The Equipment is seized, attached, or subjected to illegal execution or lien.
  2. Remedies Upon Default: Upon the occurrence of any Event of Default, Lessor may, at its sole option and without notice:
    • Terminate this Agreement and Lessee's right to use the Equipment;
    • Enter the Site and repossess the Equipment without judicial process, with Lessee hereby waiving any right to prior notice or hearing;
    • Recover all unpaid rents, accelerated future rents, damages for breach, and all costs of repossession and legal action.

8. GENERAL PROVISIONS

  1. Governing Law & Venue: This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
