NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Maker and Holder agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Principal Amount and Interest Rate

1.1 Principal Sum: For value received, Maker promises to pay to the order of Holder the principal sum of [Amount in USD] ($[0.00]), or such lesser amount as may be advanced and outstanding from time to time, together with interest thereon calculated in accordance with the terms of this Note. 1.2 Interest Rate: The outstanding principal balance of this Note shall bear interest at a fixed rate of [Interest Rate, e.g., 8.0]% per annum (the "Interest Rate"). Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) thirty-day months and shall accrue daily commencing on the Effective Date.

2. Payment Terms, Maturity, and Amortization

2.1 Amortization Schedule: The Principal Amount and accrued interest shall be repaid in consecutive, equal monthly installments of $[Monthly Payment Amount] each, commencing on [First Payment Date] and continuing on the same day of each subsequent calendar month thereafter (each, a "Payment Due Date") until [Maturity Date] (the "Maturity Date"), at which time the entire remaining unpaid principal balance, together with all accrued and unpaid interest and any other charges provided for herein, shall be due and payable in full. 2.2 Application of Payments: Each payment made under this Note shall be applied first to any late charges or collection costs then due, second to accrued and unpaid interest, and third to the reduction of the outstanding principal balance. 2.3 Method of Payment: All payments of principal and interest shall be made in lawful money of the United States of America by wire transfer of immediately available funds to an account designated in writing by Holder, or by check delivered to Holder’s principal address set forth above, or as otherwise directed by Holder from time to time. If any payment due date falls on a weekend or a legal banking holiday, the payment shall be due on the next succeeding business day.

3. Prepayment

Maker may, at any time and without premium or penalty, prepay all or any portion of the principal balance outstanding under this Note, provided that any partial prepayment shall be accompanied by all accrued and unpaid interest on the amount prepaid up to the date of such prepayment. Any partial prepayment shall be applied against the scheduled principal installments in the inverse order of their maturity and shall not postpone the due date of any subsequent monthly installments unless expressly agreed to in writing by Holder.

4. Default and Acceleration

4.1 Events of Default: The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: (a) Failure of Maker to pay any installment of principal or interest within [Number, e.g., 10] days of the applicable Payment Due Date; (b) Failure of Maker to perform, observe, or comply with any other covenant, agreement, or condition contained in this Note, which failure continues for a period of [Number, e.g., 30] days after written notice thereof from Holder; (c) The filing of a petition by or against Maker under any bankruptcy, insolvency, reorganization, or similar law, or the appointment of a receiver, trustee, or liquidator for all or a substantial part of Maker’s assets; (d) The making by Maker of a general assignment for the benefit of creditors; or (e) Any representation or warranty made by Maker in connection with this Note proves to have been materially false or misleading when made. 4.2 Acceleration: Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been cured to the satisfaction of Holder), Holder may, at its option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by Maker.

5. Late Charges and Default Interest

5.1 Late Charges: If any monthly installment is not received by Holder within [Number, e.g., 10] days after its due date, Maker shall pay to Holder a late charge equal to [Late Fee Percentage, e.g., 5]% of the overdue payment, or the maximum amount permitted by applicable law, to cover the extra administrative expenses involved in handling delinquent payments. 5.2 Default Interest: Upon the occurrence and during the continuation of any Event of Default, the outstanding principal balance of this Note shall bear interest at the lesser of (a) the maximum rate permitted by applicable law, or (b) [Default Interest Rate, e.g., 12.0]% per annum (the "Default Rate"), compounded monthly, from the date of default until the obligation is paid in full.

6. Security and Collateral
