5. STEP-BY-STEP EXECUTION & FILING GUIDE
- Document Customization:
- Open this document template in Microsoft Word, Google Docs, or an equivalent document processor.
- Locate all bracketed text fields (e.g.,
[Borrower Full Legal Name],[Amount in USD],[Maturity Date]) and replace them with the correct, verified legal data. Ensure there are no leftover brackets prior to distribution.
- Legal & Financial Verification:
- Verify that the Interest Rate complies with local state usury limits.
- Determine whether the loan requires a separate Security Agreement or UCC-1 financing statement filings (specifically if collateral secures the debt).
- Signatory Authorization:
- Verify that the individual signing on behalf of Maker (if an entity such as a corporation or LLC) possesses actual and apparent corporate authority, backed by a unanimous Board Resolution or Operating Agreement authorization if required.
- Digital or Wet-Ink Execution:
- Wet-Ink: Print two identical copies of the finalized Note. Both Maker and Holder must execute both copies so each party retains an original counterpart.
- Digital Signature: Upload the finalized document to an institutional e-signature platform (e.g., DocuSign, Adobe Sign). Configure authentication controls (SMS authentication or certificate-based ID verification) for high-value transactions.
- Record Retention:
- The original physical or cryptographically sealed digital PDF of the executed Promissory Note must be stored securely in a fireproof safe or encrypted document repository. Because promissory notes function as negotiable instruments under UCC Article 3, physical possession of the original wet-ink document (or control of a transferable electronic record under UCC 7-106) may be legally required to enforce collection. Maintain records for the full statute of limitations period post-maturity.
