INSTITUTIONAL PROMISSORY NOTE & LOAN AGREEMENT

Document ID: PN-EMP-202X-01
Effective Date: [Effective Date]
Version: 4.2 (Enterprise Grade)
Governing Jurisdiction: State of [State]

1. STATUTORY & LEGAL COMPLIANCE NOTICE

CRITICAL LEGAL NOTICE: This Promissory Note and Loan Agreement ("Agreement") is an institutional-grade financial instrument designed to evidence an unsecured or secured loan from an employer to an employee. Employment-related lending is heavily regulated by federal, state, and local statutes, including the Truth in Lending Act (TILA), the Fair Labor Standards Act (FLSA), state usury laws, and state-specific payroll deduction restrictions.

In many jurisdictions, employers are strictly prohibited from deducting loan repayments from an employee’s final paycheck or ongoing wages without explicit, prior, written authorization that complies with state wage and hour laws, or below statutory minimum wage thresholds. Furthermore, below-market interest rate loans may trigger Internal Revenue Service (IRS) imputed interest rules under Section 7872 of the Internal Revenue Code. Legal counsel and tax advisors in the applicable jurisdiction must review this instrument prior to execution to ensure absolute compliance with all governing laws.

2. PARTIES & RECITALS

THIS PROMISSORY NOTE AND LOAN AGREEMENT (the "Note") is made and entered into as of [Effective Date] (the "Effective Date"), by and between:

LENDER:
[Company Full Legal Name], a [State of Incorporation] [Corporation / LLC], having its principal place of business at [Principal Address] (together with its successors and assigns, the "Company" or "Lender"), and

BORROWER:
[Employee Full Legal Name], an individual, residing at [Employee Home Address] (the "Borrower" or "Employee").

RECITALS:

WHEREAS, the Borrower is currently employed by, or has accepted an offer of employment from, the Company; and

WHEREAS, the Borrower has requested that the Company extend a loan to the Borrower for the purpose of [Stated Purpose of Loan, e.g., relocation expenses, emergency assistance, educational advancement]; and

WHEREAS, the Company has agreed to extend such loan to the Borrower subject to the terms, covenants, and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto covenant and agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Principal Amount and Disbursement

For value received, the Borrower promises to pay to the order of the Company the principal sum of [Amount in USD] (USD [Numeric Amount]) (the "Principal"), together with interest accrued thereon, in accordance with the terms of this Note. The Principal shall be disbursed to the Borrower in a single lump sum via [Payment Method, e.g., direct deposit / wire transfer] on or about the Effective Date.

2. Interest Rate

Subject to Section 3 below, the outstanding Principal balance of this Note shall bear interest at the rate of [Interest Rate, e.g., 4.5]% per annum (the "Interest Rate"), calculated on the basis of a 365-day year and the actual number of days elapsed. In no event shall the interest charged hereon exceed the maximum rate permitted by applicable law (the "Maximum Rate"). If any interest is paid in excess of the Maximum Rate, such excess shall be automatically applied to the reduction of the Principal or refunded to the Borrower.

3. Repayment Terms & Payroll Deduction Authorization

(a) Schedule of Repayment

The Borrower shall repay the aggregate Principal sum, together with all accrued and unpaid interest, in accordance with the following schedule:

  • [Option A: Installment Schedule] Commencing on [First Repayment Date], and continuing on the [Day of Month, e.g., 1st and 15th] of each successive month thereafter, the Borrower shall make consecutive installment payments of [Installment Amount in USD] until the Principal and all accrued interest are paid in full.
  • [Option B: Lump Sum / Event Trigger] The entire unpaid Principal balance, together with all accrued and unpaid interest, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), or immediately upon the occurrence of an Acceleration Event as defined herein.

(b) Voluntary Payroll Deduction Authorization

To facilitate timely repayment, the Borrower hereby irrevocably authorizes the Company to deduct from the Borrower’s periodic wages, salary, bonuses, commissions, or any other compensation payable by the Company to the Borrower, the installment amounts due under this Note. This authorization shall remain in full force and effect until this Note is paid in full.

(c) Statutory Compliance & Final Paycheck Deduction

Notwithstanding anything to the contrary herein, to the maximum extent permitted by applicable state and federal law, in the event of the termination of the Borrower’s employment for any reason whatsoever (whether voluntary or involuntary), the entire remaining unpaid Principal balance, plus all accrued and unpaid interest, shall become immediately due and payable. The Borrower expressly authorizes the Company to deduct the full remaining balance from the Borrower’s final paycheck, severance, or any other final compensation owed to the Borrower, subject strictly to applicable minimum wage and state wage-claim statutory limitations. If such final compensation is insufficient to cover the outstanding balance, the Borrower remains personally and immediately liable for the remaining deficiency.

4. Prepayment

The Borrower reserves the right to prepay the Principal of this Note, in whole or in part, at any time and from time to time, without penalty or premium. Any partial prepayment shall be applied first to accrued and unpaid interest, and then to the reduction of the outstanding Principal balance in the inverse order of maturity. Prepayment shall not relieve the Borrower of the obligation to continue making scheduled installment payments unless the Principal and interest are paid in full.

5. Acceleration and Default

(a) Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  1. Failure to Pay: The failure of the Borrower to pay any installment of Principal or interest when due under this Note, which failure continues for a period of ten (10) calendar days after written notice thereof;
  2. Breach of Employment Conditions: If this loan is contingent upon continued employment, the termination of the Borrower’s employment with the Company for Cause (as defined in the Borrower's employment agreement or, in the absence thereof, as determined by the Company in its reasonable discretion), or the voluntary resignation of the Borrower prior to [Date or Milestone];
  3. Insolvency: The filing of a petition in bankruptcy by or against the Borrower, the appointment of a receiver for all or a substantial part of the Borrower’s assets, or the making of a general assignment for the benefit of creditors; or
  4. Breach of Covenants: The breach of any other material covenant, representation, or warranty made by the Borrower in this Note.

(b) Acceleration of Debt

Upon the occurrence of an Event of Default, and at any time thereafter (unless such Event of Default has been cured to the satisfaction of the Company), the Company may, at its sole option, declare the entire unpaid Principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable, without presentment, demand, protest, or further notice of any kind, all of which are hereby expressly waived by the Borrower.

(c) Default Interest Rate

Upon the occurrence of an Event of Default, and continuing until all defaults are cured or the indebtedness evidenced hereby is paid in full, the outstanding Principal balance shall bear interest at a default rate equal to the lesser of [Default Interest Rate, e.g., 12.0]% per annum or the maximum rate permitted by applicable law.

6. Representations and Warranties of Borrower

The Borrower represents and warrants to the Company as follows:

  1. Capacity and Authority: The Borrower has full legal capacity, power, and authority to execute, deliver, and perform this Note, and this Note constitutes a legal, valid, and binding obligation of the Borrower, enforceable against the Borrower in accordance with its terms.
  2. No Conflicts: The execution and delivery of this Note and the performance of the obligations hereunder do not and will not violate any contract, agreement, court order, or law to which the Borrower is a party or by which the Borrower is bound.
  3. Solvency: The Borrower is not insolvent, does not contemplate filing for bankruptcy, and enters into this Note freely, voluntarily, and without duress or undue influence.

7. Costs of Collection and Legal Fees

If this Note is placed in the hands of an attorney for collection, or if suit is instituted to collect this Note or any portion thereof, or to enforce the provisions hereof, the Borrower promises and agrees to pay to the Company all reasonable costs and expenses of collection, including, without limitation, reasonable attorneys’ fees, court costs, and related legal expenses incurred by the Company.

8. Waivers by Borrower

The Borrower, and any endorsers, sureties, and guarantors hereof, jointly and severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of intent to accelerate, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. No failure or delay on the part of the Company in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

9. Relationship to Employment

Nothing in this Note shall be construed as creating an employment contract, guaranteeing employment for any specific term, or altering the "at-will" status of the Borrower's employment with the Company (where applicable by law). The termination of the Borrower’s employment shall have only the operational effects on this Note expressly provided for herein.

10. Miscellaneous Provisions

(a) Severability

If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed severed from this Note, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

(b) Amendments and Waivers

No modification, amendment, waiver, or discharge of any provision of this Note shall be valid unless the same is in writing and signed by the party against whom enforcement of such modification, amendment, waiver, or discharge is sought.

(c) Assignment

This Note shall be binding upon and inure to the benefit of the respective heirs, executors, administrators, successors, and permitted assigns of the parties. The Borrower may not assign or transfer any of their rights or obligations under this Note without the prior written consent of the Company. The Company may freely assign this Note, in whole or in part, without the consent of the Borrower.

(d) Governing Law and Venue

This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of the State of [State], without regard to its conflict of laws principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County] County, [State], for any legal action, suit, or proceeding arising out of or relating to this Note.

(e) Entire Agreement

This Note constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, understandings, and negotiations, whether oral or written, between the parties relating to the subject matter hereof.

5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization & Review

  • Open this template in Microsoft Word, Google Docs, or an equivalent document editor.
  • Locate all bracketed placeholders (e.g., [Company Full Legal Name], [Amount in USD], [State]) and replace them with the accurate operational data. Ensure numeric and written amounts match precisely.
  • Consult with qualified legal and tax counsel in your applicable jurisdiction to verify compliance with state-specific wage deduction statutes and IRS Section 7872 (imputed interest rules).

Step 2: Signatory Verification

  • Verify that the corporate signatory executing on behalf of the Lender possesses actual corporate authority (pursuant to corporate bylaws, board resolutions, or operating agreements) to bind the Company to lending obligations.
  • Confirm the legal spelling of the Employee’s full legal name matches their government-issued identification and payroll records.

Step 3: Digital or Wet-Ink Execution

  • Digital Execution (Recommended): Upload the finalized document to an enterprise-grade digital signature platform (such as DocuSign or Adobe Sign). Configure routing to ensure the Company signs first or concurrently with the Borrower, capturing immutable digital audit trails and timestamps.
  • Wet-Ink Execution: Print two identical paper originals. Ensure both parties sign and date both originals in blue or black ink, allowing each party to retain one fully executed original instrument.

Step 4: Record Retention & Payroll Integration

  • Transmit a fully executed copy of the Note to the Company’s Payroll and Human Resources departments to program any authorized recurring payroll deductions (if applicable under state law).
  • Archive the master original in a secure, fireproof corporate records vault or encrypted electronic document management repository (ERP/HRIS) for the active life of the loan plus the applicable state statute of limitations following full repayment.
