STEP-BY-STEP EXECUTION & FILING GUIDE
- Document Preparation: Copy the above text into your word processor. Replace all bracketed
[...]fields with the specific, verified details of your transaction. - Verify Authority: Ensure the individual signing for the Borrower has corporate authority (if a company) or personal capacity (if an individual) to bind the party to a debt obligation. Verify this via a Corporate Resolution or Board Minutes if the Borrower is a legal entity.
- Execution via Digital Signature: For enforceability, use a platform such as DocuSign, Adobe Sign, or HelloSign. Ensure the "Audit Trail" or "Certificate of Completion" is saved with the document to prove the identity of the signers.
- Security Interests (Optional but Recommended): If this loan is "Secured," you must execute a separate Security Agreement and file a UCC-1 Financing Statement with the Secretary of State in the Borrower’s state of organization to protect your interest against other creditors.
- Record Retention: Maintain the signed original (or the digital original file) in a secure, encrypted folder for the duration of the loan term plus at least seven years post-repayment for tax and audit compliance.
