4. STEP-BY-STEP EXECUTION AND FILING GUIDE
- Data Completion: Replace all bracketed information
[...]with precise data. Ensure the "Interest Rate" complies with the usury laws of the State identified in the Governing Jurisdiction. - Verification of Authority: Prior to signing, confirm that the signatory for the Borrower and Lender holds valid Board authorization or Power of Attorney to bind their respective legal entities.
- Digital Execution: For digital execution, use an e-signature platform compliant with the E-SIGN Act (e.g., DocuSign or Adobe Sign). Ensure the platform provides an audit trail of the signing process.
- Notarization: While not strictly required for a simple Promissory Note, notarization is highly recommended if the Note is intended to be recorded against collateral (e.g., a deed of trust) or to provide extra evidentiary weight in litigation.
- Record Retention: The original "wet ink" or cryptographically verified digital copy should be stored in a secure, fireproof repository. A copy should be transmitted to the counterparty immediately upon execution.
- Ledger Maintenance: Lender must maintain an accurate payment ledger to track principal reduction (if any) and interest accrual to prevent disputes regarding the outstanding balance at Maturity.
