INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (the "Agreement") is entered into as of [___________] (the "Effective Date") by and between:

AND

CONTRACTOR: [___________], an individual/entity with a principal place of business/residence located at [___________] (the "Contractor").

1. SERVICES

The Company hereby engages the Contractor, and the Contractor hereby accepts such engagement, to perform the following services (the "Services"): [____________________________________________________________________________________]

2. TERM

This Agreement shall commence on the Effective Date and shall continue in effect until [___________] or until terminated by either Party in accordance with the provisions herein (the "Term").

3. COMPENSATION

5. INTELLECTUAL PROPERTY

The Contractor agrees that any and all work product, inventions, designs, or developments created, prepared, or produced by the Contractor in connection with the Services (the "Work Product") shall be the sole and exclusive property of the Company. The Contractor hereby assigns all right, title, and interest in such Work Product to the Company.

6. CONFIDENTIALITY

The Contractor acknowledges that in the course of performing the Services, they may have access to confidential information of the Company. The Contractor agrees to maintain the strict confidentiality of such information and not to disclose it to any third party without prior written consent, both during and after the Term.

7. TERMINATION

Either Party may terminate this Agreement at any time upon [___________] days’ written notice. In the event of a material breach by either Party, the non-breaching Party may terminate this Agreement immediately upon written notice.

8. GOVERNING LAW
