COMMERCIAL AGREEMENT

This Commercial Agreement (the “Agreement”) is entered into as of [Effective Date] (the “Effective Date”) by and between [Company Name], a [State/Country] [Entity Type], with its principal place of business at [Address] (“Provider”), and [Client Name], a [State/Country] [Entity Type], with its principal place of business at [Address] (“Client”). Provider and Client are collectively referred to as the “Parties” and individually as a “Party.”

RECITALS

WHEREAS, Provider is engaged in the business of providing [Description of Services/Goods]; WHEREAS, Client desires to retain Provider to perform such services or provide such goods under the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1. “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with a Party. 1.2. “Confidential Information” means all non-public, proprietary information disclosed by one Party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential. 1.3. “Deliverables” means the specific goods, materials, or services produced by Provider for Client as described in any attached Statement of Work (“SOW”). 1.4. “Intellectual Property Rights” means all patent rights, copyrights, trade secrets, trademarks, and all other intellectual property rights recognized in any jurisdiction. 1.5. “Term” shall mean the duration of this Agreement as defined in Section 3.1.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Scope of Services. Provider shall perform the services or deliver the goods as set forth in the applicable SOW. Any change to the scope must be memorialized in a written amendment signed by both Parties. 2.2. Payment Terms. Client shall pay Provider the sum of [Dollar Amount] as consideration for the services rendered. Payments shall be made within [Number] days of receipt of a valid invoice. 2.3. Performance Standards. Provider warrants that it will perform all obligations in a professional and workmanlike manner, in accordance with industry standards and the specifications provided in the SOW. 2.4. Representations. Each Party represents that it has the full power and authority to enter into this Agreement and that the execution of this Agreement does not violate any other contractual obligation.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Term. This Agreement shall commence on the Effective Date and remain in effect for [Duration], unless terminated earlier in accordance with this Section. 3.2. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach. 3.3. Cure Period. In the event of a breach, the non-breaching Party shall provide written notice detailing the breach. The breaching Party shall have thirty (30) business days from the receipt of such notice to cure the breach. 3.4. Remedies. Upon a material breach that remains uncured, the non-breaching Party may pursue all available legal and equitable remedies, including recovery of direct damages, subject to any limitations expressly set forth herein.

4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. 4.2. Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements or understandings, whether written or oral. 4.3. Force Majeure. Neither Party shall be liable for any failure to perform its obligations where such failure results from any cause beyond its reasonable control, including, but not limited to, acts of God, war, or governmental regulation. 4.4. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. 4.5. Dispute Resolution. Any dispute arising out of or relating to this Agreement shall be submitted to binding arbitration in [Jurisdiction] in accordance with the rules of [Arbitration Body].
