OPERATIVE CLAUSES

1. PRINCIPAL SUM AND INTEREST RATE

1.1 Promise to Pay. For value received, Borrower promises to pay to the order of Lender, or its designated assignees, the principal sum of [Amount in USD] ($[Numeric Amount]), together with interest on the unpaid principal balance thereof from the Effective Date, calculated at the fixed / variable rate of [Interest Rate Percentage]% per annum (the "Interest Rate"). Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) thirty-day months, or actual days elapsed, as applicable to the compounding frequency agreed herein. 1.2 Amortization & Calculation. Unless otherwise accelerated pursuant to the terms of this Note or the Security Instrument, the principal and accrued interest of this Note shall be payable in accordance with the amortization schedule set forth in Section 2.

2. TERMS OF REPAYMENT & PAYMENT MECHANICS

2.1 Installment Payments. Borrower shall make consecutive monthly installments of principal and interest in the amount of [Monthly Payment Amount in USD] ($[Numeric Monthly Amount]) on the [Day of Month, e.g., 1st] day of each and every calendar month, commencing on [First Payment Date], and continuing thereafter until [Maturity Date] (the "Maturity Date"), at which time the entire remaining unpaid principal balance, together with all accrued and unpaid interest and any other sums due hereunder, shall be due and payable in full (the "Balloon Payment"), if not sooner paid. 2.2 Application of Payments. Each payment made by Borrower under this Note shall be applied by Lender in the following order of priority: first, to the payment of any accrued and unpaid late charges, collection costs, and administrative fees; second, to the payment of any accrued and unpaid interest; and third, to the reduction of the outstanding principal balance. 2.3 Method and Place of Payment. All payments due under this Note shall be made in lawful money of the United States of America, in immediately available funds, delivered to Lender by Automated Clearing House (ACH) transfer, wire transfer, or check delivered to Lender’s address set forth herein, or at such other place as Lender may designate in writing to Borrower from time to time. If any payment falls due on a Saturday, Sunday, or a legal holiday observed by national banking institutions in the United States, such payment shall be made on the next succeeding business day, and such extension of time shall be included in the computation of interest.

3. PREPAYMENT PRIVILEGES

3.1 Prepayment Right. Borrower shall have the right to prepay the principal amount outstanding under this Note, in whole or in part, at any time without premium or penalty, [Optional: subject to a prepayment penalty equal to [Penalty Percentage]% of the principal amount prepaid if prepaid within [Number] years of the Effective Date]; provided, however, that any partial prepayment shall be applied against the principal balance of the outstanding installments in the inverse order of maturity and shall not postpone the due date of any subsequent monthly installments unless explicitly agreed to in writing by Lender. 3.2 Notice of Prepayment. Borrower shall provide Lender with written notice of its intent to prepay not less than [Number] days prior to the date of such prepayment.

4. DEFAULT, LATE CHARGES, AND DEFAULT RATE

4.1 Late Charges. If any monthly installment or other sum due under this Note is not received by Lender within [Number, e.g., 10] calendar days after the date on which it is due, Borrower shall pay to Lender a late charge equal to [Late Fee Percentage, e.g., 5]% of the overdue payment, or the maximum amount permitted by applicable law, to cover the extra administrative expenses involved in handling delinquent payments. 4.2 Default Rate of Interest. Upon the occurrence of an Event of Default (as defined herein), whether or not Lender has elected to accelerate the maturity of this Note, the unpaid principal balance of this Note and, to the extent permitted by applicable law, any overdue interest, shall bear interest at a default rate equal to the lesser of [Default Interest Rate Percentage]% per annum or the maximum rate permitted by applicable law (the "Default Rate"), accruing from the date of default until the default is fully cured or the indebtedness is paid in full. 4.3 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note and the Security Instrument:

  • (a) Failure to Pay: Borrower fails to pay any monthly installment of principal and interest, or any other sum due under this Note or the Security Instrument, within [Number, e.g., 15] days of its due date.
  • (b) Breach of Covenants: Borrower fails to observe, perform, or comply with any other covenant, condition, or agreement contained in this Note, the Security Instrument, or any other related loan document within [Number, e.g., 30] days after written notice thereof from Lender.
  • (c) Insolvency & Bankruptcy: Borrower files a petition under any bankruptcy, insolvency, reorganization, or moratorium law, or makes an assignment for the benefit of creditors, or if a receiver, trustee, or liquidator is appointed for Borrower or any of Borrower's property.
  • (d) Transfer of Property: Borrower sells, assigns, encumbers, transfers, or disposes of the Property, or any legal or beneficial interest therein, without the prior written consent of Lender, to the extent such transfer is prohibited under the Security Instrument.
  • (e) Default on Prior Liens: Borrower defaults in the payment of any prior or superior lien, encumbrance, or real estate taxes encumbering the Property.

5. ACCELERATION OF MATURITY

5.1 Remedies upon Default. Upon the occurrence of any Event of Default, and at any time thereafter (such default continuing), Lender may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest, default interest, late charges, and all other sums secured hereby, to be immediately due and payable without presentment, demand, protest, or notice of any kind (all of which are hereby expressly waived by Borrower). 5.2 Foreclosure and Enforcement. Upon acceleration, Lender may immediately pursue any and all remedies available to it under the Security Instrument, at law, or in equity, including but not limited to the judicial or non-judicial foreclosure of the Security Instrument and the sale of the Property.

6. SECURITY INSTRUMENT & COLLATERAL

6.1 Cross-Reference to Mortgage. This Note is secured by the Security Instrument, and reference is made to the Security Instrument for a complete description of the real property encumbered, the nature and extent of the security, the rights and remedies of Lender in respect thereof, and the terms and conditions under which the Loan is secured. 6.2 Cumulative Remedies. The remedies of Lender shall be cumulative and concurrent, and may be pursued singly, successively, or together, at the sole discretion of Lender. No act of omission or commission of Lender, including specifically any failure to exercise any right, remedy, or recourse, shall operate as a waiver or release of the same.

7. WAIVERS, PRESENTMENT, AND NOTICE OF DISHONOR

7.1 Borrower Waivers. Borrower, and any endorsers, sureties, guarantors, and all other persons liable or to become liable on this Note, severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of acceleration, diligence in collection, and any and all statutory or common law notices of any kind, except as expressly provided herein. 7.2 Waiver of Stay and Valuation Laws. Borrower hereby expressly waives all rights to the benefits of any valuation, stay, appraisement, redemption, or exemption laws now in force or hereafter enacted under the laws of the State of [State / Jurisdiction] or any other jurisdiction. 7.3 No Implied Waiver. No failure or delay on the part of Lender in exercising any right, power, or privilege under this Note or the Security Instrument shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

8. COSTS OF COLLECTION AND ATTORNEYS' FEES

8.1 Enforcement Expenses. If this Note is placed in the hands of an attorney for collection, or if it is collected through any legal proceeding, bankruptcy, probate, or foreclosure action, Borrower promises and agrees to pay to Lender all reasonable and documented costs of collection, including, without limitation, reasonable attorneys' fees, court costs, appraisal fees, title search costs, and expert witness fees incurred by Lender, whether or not litigation is formally commenced.

9. GOVERNING LAW, JURISDICTION, AND VENUE

9.1 Choice of Law. This Note, and all claims, controversies, or causes of action arising out of or relating to this Note (whether in contract, tort, or statute), shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles. 9.2 Consent to Jurisdiction. Borrower hereby irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County Name] County, [State / Jurisdiction], for any legal action, suit, or proceeding arising out of or relating to this Note. Borrower waives any objection to the laying of venue of any such action or proceeding in said courts.

10. MISCELLANEOUS PROVISIONS

10.1 Severability. If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision hereof, which shall remain in full force and effect. 10.2 Usury Savings Clause. Notwithstanding anything to the contrary contained herein, in no event shall the aggregate rate of interest or charges contracted for, charged, or received under this Note exceed the maximum rate of interest permitted by applicable state or federal usury laws. If any such excess interest is inadvertently collected by Lender, it shall be applied as a mandatory prepayment of principal or, if the principal has been fully paid, refunded directly to Borrower. 10.3 Binding Effect and Assignment. This Note shall be binding upon Borrower and Borrower’s heirs, personal representatives, successors, and permitted assigns, and shall enure to the benefit of Lender and Lender’s successors and assigns. Borrower may not assign its obligations under this Note without the prior written consent of Lender. Lender may freely assign, transfer, or sell this Note and the Security Instrument, in whole or in part, without notice to or consent from Borrower. 10.4 Amendments and Modifications. No modification, amendment, waiver, or discharge of any provision of this Note shall be valid unless executed in writing and signed by the party against whom enforcement is sought. 10.5 Headings. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Document Customization:

    • Open this template in a word processor (Microsoft Word or Google Docs).
    • Locate all bracketed placeholders (e.g., [Effective Date], [Amount in USD], [State / Jurisdiction]) and replace them with the exact commercial and legal terms of the transaction.
    • Ensure the legal description of the real property is fully articulated and inserted into Exhibit A of the Security Instrument (Mortgage/Deed of Trust).
  2. Legal & Compliance Review:

    • Retain local real estate counsel in the jurisdiction where the Property is located to verify that the Interest Rate complies with state usury caps and that the default provisions align with local statutory foreclosure requirements.
  3. Execution & Notarization:

    • Ensure the Borrower signs the Note in the presence of a licensed Notary Public if required by local recording and evidentiary standards, or execute via secure digital signature platforms (e.g., DocuSign, Adobe Sign) with robust audit trails.
    • Note: While a Promissory Note is typically a standalone commercial paper instrument that does not require recording, the corresponding Security Instrument (Mortgage/Deed of Trust) must be formally executed, notarized, and recorded in the land records of the county where the Property is situated to perfect Lender’s lien.
  4. Record Retention & Post-Closing:

    • The Lender (or its designated custodian) must take physical possession of the Original Wet-Ink Promissory Note (or verify control if structured as an electronic transferable record under the Uniform Electronic Transactions Act [UETA] or E-SIGN Act) in a secure, fireproof vault, as physical possession is often required to enforce negotiable instruments under the Uniform Commercial Code (UCC Article 3).
    • Deliver fully executed copies of the Note and Security Instrument to all parties for their permanent corporate and financial records.
