5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization (Drafting Phase)

  • Open this document template in Microsoft Word, Google Docs, or an authorized contract management system.
  • Locate all bracketed placeholder fields (e.g., [Amount in USD], [Effective Date], [Interest Rate]) and replace them with the exact commercial terms agreed upon by Maker and Holder. Ensure no bracketed placeholders remain unaddressed.
  • Review Section 1 and Section 2 carefully to verify that the math for the Principal Sum, Interest Rate, and Payment Schedule aligns with commercial expectations.

Step 2: Verification of Signatory Authority

  • Confirm that the individual signing on behalf of Maker (if Maker is a corporation, LLC, or partnership) possesses explicit legal authority under corporate bylaws, operating agreements, or board resolutions to incur debt and execute promissory notes.
  • For institutional lenders (Holder), verify authorized signatories via corporate resolutions or incumbency certificates if required by institutional governance standards.

Step 3: Execution via Digital Signature or Wet Ink

  • Digital Execution: Upload the finalized document into an enterprise-grade digital signature platform compliant with the Electronic Signatures in Global and National Commerce (ESIGN) Act and Uniform Electronic Transactions Act (UETA), such as DocuSign or Adobe Sign. Route the document to the designated signatories for execution.
  • Wet-Ink Execution: Print two original hard copies of the finalized document. Have both Maker and Holder execute both copies in wet blue ink. Each party shall retain one fully executed original counterpart.

Step 4: Record Retention and Filing

  • Store the executed original Promissory Note (or the cryptographic certificate of completion for digital signatures) in a secure, fireproof physical safe or an encrypted, access-controlled cloud repository (e.g., enterprise document management system).
  • Maintain this document for the entire lifecycle of the loan plus the applicable statutory statute of limitations period for contract enforcement in the governing jurisdiction (typically 3 to 10 years following full satisfaction or default).
