5. STEP-BY-STEP EXECUTION & FILING GUIDE
- Field Completion: Open this document in Microsoft Word or Google Docs. Replace all bracketed text (e.g.,
[Amount]) with the specific transaction details. Ensure the Interest Rate is stated as an annual percentage to comply with the Interest Act. - Verify Authority: If either party is a corporation, ensure the individual signing has the legal authority to bind the corporation (e.g., Director or Officer).
- Witnessing: In Alberta, while not strictly required for all corporate contracts, it is "best practice" for individual borrowers to have their signature witnessed to prevent future "non-est factum" (it was not my deed) claims.
- Digital Execution: If using DocuSign or Adobe Sign, ensure the "Audit Trail" or "Certificate of Completion" is downloaded and attached to the final PDF.
- Initialing: It is recommended that each party initials the bottom right corner of every page to prevent page-substitution.
- Record Retention: The Lender should retain the original wet-ink version (if applicable) in a fireproof safe. Under Alberta law, the "original" Note is often required to be produced in court for summary judgment on a debt.
- PPSA Registration (Optional): If this Note is secured by personal property (e.g., equipment or a vehicle), the Lender must register a Financing Statement at the Alberta Personal Property Registry (PPR) to perfect their security interest.
