NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Maker covenants and agrees as follows:

3. OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Principal Sum and Interest Rate

1.1 Principal Sum. For value received, Maker unconditionally promises to pay to the order of Holder the principal sum of [Amount in USD] ([Amount in Words]), together with interest calculated on the unpaid principal balance from the Effective Date until this Note is paid in full.
1.2 Interest Rate. The unpaid principal balance of this Note shall bear interest at the fixed rate of [Interest Rate Percentage] percent ([0.00]%) per annum, computed on the basis of a 365-day year and the actual number of days elapsed, unless an Event of Default occurs, in which case Section 4 shall govern.

Section 2. Repayment Terms and Schedule

2.1 Payment Structure. Maker shall repay the principal and accrued interest under this Note in accordance with the following schedule:

  • Installment Payments: Maker shall make [Number of Installments] consecutive monthly installments of [Installment Amount in USD] each, commencing on [First Payment Date] and continuing on the same day of each successive month thereafter until [Final Maturity Date] (the "Maturity Date"), at which time the entire remaining unpaid principal balance, together with all accrued and unpaid interest and any other fees, shall be due and payable in full.
  • Lump Sum / Balloon Payment: Alternatively, the entire principal sum, together with all accrued and unpaid interest thereon, shall be due and payable in a single lump sum on or before [Maturity Date]. (Select applicable structure and strike the non-applicable).
2.2 Application of Payments. All payments remitted by Maker under this Note shall be applied first to any late charges, collection costs, and accrued fees; second to the payment of accrued and unpaid interest; and third to the reduction of the outstanding principal balance.
2.3 Method of Payment. All payments shall be made in lawful money of the United States of America by wire transfer of immediately available funds to an account designated in writing by Holder, or by check delivered to Holder’s principal address set forth above, or to such other place as Holder may designate from time to time in writing. If any payment falls due on a Saturday, Sunday, or legal holiday in the applicable jurisdiction, such payment shall be made on the next succeeding business day, and such extension of time shall be included in computing interest.

Section 3. Prepayment Privileges

Maker shall have the right to prepay the principal amount of this Note, in whole or in part, at any time and from time to time, without premium or penalty. Any partial prepayment shall be applied against the principal installments last maturing and shall not postpone the due date of any subsequent regular installments scheduled under Section 2, unless Holder expressly agrees in writing.

Section 4. Default, Late Charges, and Default Interest

4.1 Late Charges. If any payment required under this Note is not received by Holder within [Number of Grace Period Days] calendar days after the date it is due, Maker shall pay to Holder a late charge equal to [Late Fee Percentage] percent ([0.00]%) of the delinquent payment amount, or the maximum amount permitted by applicable law, to compensate Holder for the administrative costs of servicing the delinquency.
4.2 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  • Insolvency and Bankruptcy: Maker files a petition in bankruptcy, seeks relief under any insolvency law, makes an assignment for the benefit of creditors, has a receiver or trustee appointed for all or substantially all of its assets, or suffers an involuntary bankruptcy petition to be filed against it which is not dismissed within [60] days.
  • Misrepresentation: Any representation, warranty, or financial statement furnished by or on behalf of Maker to Holder proves to have been materially false or misleading when made.
4.3 Acceleration and Default Interest. Upon the occurrence of an Event of Default, at the option of Holder and without demand or notice of any kind (all of which are hereby expressly waived by Maker), the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums payable hereunder, shall immediately become due and payable. Upon such acceleration, or upon the occurrence of any uncured Event of Default, the unpaid principal balance shall bear interest at the rate of [Default Interest Rate Percentage] percent ([0.00]%) per annum (the "Default Rate"), or the maximum rate permitted by applicable law, from the date of default until this Note is paid in full.

Section 5. Collection Costs and Attorneys' Fees

If this Note is placed in the hands of an attorney for collection, or if it is collected through any legal proceeding, bankruptcy, probate, or other judicial framework, Maker promises to pay to Holder all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, court costs, expert witness fees, and disbursements incurred by Holder in enforcing Holder's rights and remedies hereunder.

Section 6. Waivers and Consents

6.2 No Waiver by Holder. No failure or delay on the part of Holder in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. 2. Locate all bracketed fields ([...]) and replace them with the accurate commercial terms, legal entity names, addresses, and monetary figures. Ensure numerical amounts match written text amounts to prevent ambiguity.
  3. Review Section 2 to ensure the chosen repayment mechanism (Installments vs. Lump Sum) matches the mutual intent of Maker and Holder, deleting the unused option.
  4. Verify Section 7 regarding collateral. If this is an unsecured note, select "unsecured." If backed by collateral, ensure the cross-referenced Security Agreement is drafted, executed, and attached concurrently.

  3. Audit Trail: Maintain the certificate of completion (if signed digitally) or proof of delivery alongside the primary contract file for the duration of the statute of limitations applicable to written debt instruments in the governing jurisdiction.
