4. STEP-BY-STEP EXECUTION AND FILING GUIDE

  1. Customization: Open this document in your preferred word processor. Use the "Find and Replace" function to update all bracketed fields (e.g., [Amount in USD]) with the specific deal variables.
  2. Schedule Attachment: Append an exhaustive "Schedule A" identifying the specific files, versions, or physical documents to be submitted. Ambiguity here is a common failure point in litigation.
  3. Authority Verification: Ensure the individuals signing have the corporate authority to bind their respective entities. For corporations, verify this against the corporate resolution or bylaws.
  4. Execution:
    • Print two hard copies or utilize a secure e-signature platform (DocuSign, Adobe Sign, or HelloSign).
    • Ensure the "Audit Trail" feature is enabled if using e-signatures to capture IP addresses and timestamps.
  5. Retention:
    • Store one fully executed original in your physical "Contracts & Deeds" secure file.
    • Maintain a digital copy in your centralized Legal Operations Management System (LOMS) or secure cloud repository with appropriate access controls.
    • Calendar the "Submission Date" to ensure timely tracking of the performance obligation.
