STEP-BY-STEP EXECUTION & FILING GUIDE
- Customization: Open this document in a word processor. Replace all bracketed text (e.g.,
[Amount in USD]) with specific transactional details. Ensure numerical figures are written both in numerals and words to prevent ambiguity. - Verification of Authority: If the Borrower or Lender is an entity (LLC, Corp), verify that the signatory is authorized via Corporate Resolution or Operating Agreement to bind the entity to debt instruments.
- Execution:
- Digital: Upload the finalized document to a platform like DocuSign or Adobe Sign. Use "E-Signature" fields that capture an audit trail, IP address, and timestamp.
- Physical: If signing in wet ink, initial every page and sign in duplicate. Both parties must retain an original "wet" copy.
- Notarization: While not strictly required for a basic promissory note, having the signature witnessed by a Notary Public serves as prima facie evidence of the document's authenticity and prevents "forgery" defenses.
- Record Retention: Store the executed Note in a secure, fireproof digital or physical repository. Maintain a ledger tracking all payments made against the Note to ensure accurate accounting for interest calculations.
