3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Principal Sum and Interest Rate

1.1 Principal Sum: For value received, Maker promises to pay to the order of Holder the principal sum of [Amount in USD Written Out] United States Dollars ($[Numeric Amount]) (the "Principal"), together with interest thereon calculated in accordance with the terms of this Promissory Note.
1.2 Interest Rate: The outstanding principal balance of this Promissory Note shall bear interest at the fixed annual rate of [Interest Rate Percentage]% (the "Interest Rate"), calculated on the basis of a 365-day year and the actual number of days elapsed. 2. Payment Terms and Maturity

2.1 Maturity Date: The entire outstanding principal balance of this Promissory Note, together with all accrued and unpaid interest and all other sums payable hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), unless accelerated earlier in accordance with the default provisions herein.

  • [Option B - Interest-Only Followed by Balloon]: Interest-only payments of [Interest Payment Amount in USD] United States Dollars ($[Numeric Amount]) shall be payable monthly, commencing on [First Payment Date], and continuing on the same day of each successive month thereafter until the Maturity Date, at which time the entire unpaid principal balance plus all accrued interest shall be due in a single balloon payment.
  • [Option C - Single Bullet Payment]: Principal and all accrued interest shall be payable in a single lump-sum payment on the Maturity Date.

2.3 Application of Payments: All payments made by Maker under this Promissory Note shall be applied first to any late fees, collection costs, and out-of-pocket expenses incurred by Holder; second to accrued and unpaid interest; and third to the reduction of the outstanding principal balance.
2.4 Method of Payment: All payments of principal and interest shall be made in lawful money of the United States of America by wire transfer of immediately available funds to an account designated in writing by Holder, or by check delivered to Holder’s principal address set forth above, or as otherwise directed by Holder in writing. If any payment falls due on a Saturday, Sunday, or legal holiday in the applicable jurisdiction, such payment shall be made on the next succeeding business day, and such extension of time shall be included in the calculation of interest.

3.1 Prepayment Right: Maker shall have the right to prepay the outstanding principal balance of this Promissory Note, in whole or in part, at any time and from time to time, without penalty or premium.
3.2 Prepayment Application: Any partial prepayment shall be applied against the principal installments last maturing or, in the case of an unamortized note, against the principal balance, and shall not postpone the due date of any subsequent scheduled monthly installments unless expressly agreed to in writing by Holder. All prepayments must be accompanied by payment of all accrued and unpaid interest on the principal amount being prepaid through the date of such prepayment.

4. Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Promissory Note:

4.3 Insolvency and Bankruptcy: Maker files a petition in bankruptcy, seeks relief under any insolvency law, makes an assignment for the benefit of creditors, consents to the appointment of a receiver, liquidator, or trustee of all or a substantial part of its assets, or if an involuntary petition in bankruptcy or receivership is filed against Maker and is not dismissed, bonded, or vacated within sixty (60) calendar days;
4.4 Misrepresentation: Any representation, warranty, or statement made by or on behalf of Maker in this Promissory Note or any related document proves to have been false, misleading, or erroneous in any material respect when made; or
4.5 Cross-Default: Maker defaults under any other promissory note, loan agreement, credit facility, or monetary obligation owed to Holder or any affiliate of Holder.

5. Acceleration of Maturity and Remedies upon Default

5.1 Acceleration: Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been cured to the satisfaction of Holder), Holder may, at its sole option, declare the entire unpaid principal balance of this Promissory Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable without presentment, demand, protest, or further notice of any kind, all of which are hereby expressly waived by Maker.
5.2 Default Interest Rate: Upon the occurrence of an Event of Default, and continuing until such Event of Default is fully cured or waived in writing by Holder, the outstanding principal balance of this Promissory Note shall bear interest at the lesser of [Default Interest Rate Percentage, e.g., 18]% per annum or the maximum rate permitted by applicable law (the "Default Rate").
5.3 Cumulative Remedies: The remedies of Holder provided herein are cumulative and concurrent, and may be pursued singly, successively, or together against Maker, any guarantor, or any collateral, at the sole discretion of Holder. 10. Miscellaneous Provisions

10.1 Severability: If any provision of this Promissory Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed severed from this Promissory Note, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.

11.3 WAIVER OF JURY TRIAL: MAKER AND HOLDER HEREBY KNOWINGLY, VOLUNTARILY, INTENTIONALLY, AND IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING, ACTION, CLAIM, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS PROMISSORY NOTE, ANY RELATED COLLATERAL OR SECURITY AGREEMENT, OR THE TRANSACTIONS CONTEMPLATED HEREBY.

5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization in Word / Google Docs

  1. Open this template in Microsoft Word, Google Docs, or any compatible word processor.
  2. Search and replace all bracketed placeholders (e.g., [Borrower Full Legal Name], [Amount in USD], [Maturity Date], [Interest Rate Percentage]) with exact, verified legal data.
  3. Review Section 3 (Payment Terms) and Section 6 (Security), ensuring you delete the unused options and retain only the exact financing structure intended for the transaction.
  4. Remove all instructional brackets, helper text, and this Section 5 guide prior to final signature generation.

Step 2: Signatory Authority Verification

  1. For Individuals: Ensure the individual signing matches the legal name on government-issued identification.
  2. For Corporate Entities / LLCs / Partnerships: Verify through organizational documents (Articles of Incorporation, Operating Agreement, Bylaws, or Resolutions) that the executing officer or manager possesses explicit authority to incur indebtedness and execute negotiable instruments on behalf of the entity.

Step 3: Execution and Digital Signing

  1. Wet-Ink Execution: Print two identical copies of the finalized Promissory Note. Both Maker and Holder must execute the signature blocks in blue or black ink. Each party should retain one original "Wet-Ink" executed copy in a secure vault or fireproof file.
  2. Digital Execution (DocuSign / Adobe Sign): Upload the finalized PDF to a secure e-signature platform compliant with the ESIGN Act and UETA. Configure signature routing fields to capture cryptographic audit trails, IP addresses, and secure timestamps for both Maker and Holder.

Step 4: Collateral Perfection (If Applicable)

If Section 6 Option A (Secured Note) is selected, immediately execute the corresponding Security Agreement and file a UCC-1 Financing Statement with the Secretary of State (or relevant provincial registry) in the jurisdiction of Maker's organization or principal residence to perfect Holder's security interest in the Collateral.

Step 5: Record Retention and Accounting

Store the executed Promissory Note (and associated security filings, wire transfer receipts, and amortization schedules) in an encrypted corporate legal repository or document management system for the entire duration of the loan plus the applicable statutory statute of limitations period (typically 3 to 6 years post-full repayment, depending on jurisdiction).
