Maker irrevocably submits to the exclusive jurisdiction of the state and federal courts located within [County] County, [State], for the resolution of any dispute arising hereunder, and waives any objection to venue or inconvenient forum.

5. STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Customization (Drafting Phase)
- Open this template in a secure word processing environment (e.g., Microsoft Word or Google Docs).
- Locate all bracketed placeholders (e.g.,
[Effective Date],[Amount in USD],[State]) and replace them with accurate, verified data corresponding to the underlying educational financial agreement. Ensure numerical and written currency amounts match perfectly to prevent ambiguity.
Step 2: Legal & Compliance Verification
- Submit the populated draft to institutional legal counsel or the bursar’s office to verify that the specified interest rate complies with state usury caps and that late fee structures align with institutional policy and state consumer lending regulations.
- Verify that FERPA consent forms are simultaneously executed if financial details are to be shared with co-signers or parents.
Step 3: Signatory Authorization Review
- Confirm that the individual signing on behalf of the Payee possesses proper corporate delegation of authority (e.g., Board Resolution, CFO, or Bursar designation).
- Verify the identity of the Maker (Student/Debtor) via government-issued photographic identification prior to execution.
Step 4: Digital Execution (DocuSign / Adobe Sign)
- Upload the finalized document into an enterprise-grade digital signature platform (such as DocuSign or Adobe Sign) configured for tamper-evident cryptographic sealing and audit trail generation (ESIGN Act and UETA compliant).
- Route the document first to the Maker for execution, followed by the institutional representative. Require multi-factor authentication (MFA) or SMS passcode verification for the Maker.
Step 5: Archival and Record Retention
- Upon full execution, export the executed PDF along with the digital signature Certificate of Completion.
- Store the records in the institution's secure Student Information System (SIS) and Enterprise Resource Planning (ERP) financial database (e.g., Banner, PeopleSoft, Workday).
- Retain all promissory notes and associated audit trails for the statutory limitation period applicable to written contracts in the governing state plus one year, typically ranging from six (6) to fifteen (15) years following the final date of payment or default.
