CLINICAL DISCLAIMER: This Promissory Note is drafted to conform with the general statutory requirements of the State of Florida (including Chapters 673 and 687 of the Florida Statutes governing negotiable instruments and interest rates). However, loan transactions involve complex federal and state regulatory frameworks, including consumer protection laws, usury limits, and documentary stamp tax requirements. 2. PARTIES & RECITALS
THIS PROMISSORY NOTE (the "Note") is entered into as of [Effective Date] (the "Effective Date"), by and between:
MAKER (Debtor):
[Debtor Full Legal Name], with a principal place of residence or registered office located at [Debtor Principal Address] (hereinafter referred to as the "Maker", which expression shall include its successors and permitted assigns); and
HOLDER (Creditor):
[Creditor Full Legal Name], with a principal place of residence or registered office located at [Creditor Principal Address] (hereinafter referred to as the "Holder", which expression shall include its successors and assigns).
RECITALS:
WHEREAS, Maker desires to borrow the principal sum from Holder, and Holder is willing to lend the principal sum to Maker, upon the terms and conditions set forth herein; and
WHEREAS, Maker acknowledges receipt of good and valuable consideration, the adequacy and receipt of which are hereby acknowledged.
NOW, THEREFORE, for value received, Maker promises to pay to the order of Holder the Principal Sum, together with interest accrued thereon, in accordance with the terms of this Note.
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Principal Sum and Interest Rate
1.1 Principal Amount. For value received, Maker promises to pay to the order of Holder the principal sum of [Amount in USD] United States Dollars ($[Numerical Amount]), together with interest thereon calculated in accordance with the terms of this Note.
1.2 Interest Rate. Subject to Section 1.3, the outstanding principal balance hereof shall bear interest at the rate of [Interest Rate Percentage]% per annum, calculated on the basis of a 360-day year and the actual number of days elapsed, or the maximum rate permitted by applicable Florida law, whichever is less.
1.3 Default Interest. Upon the occurrence and during the continuation of any Event of Default under this Note, the outstanding principal balance and, to the extent permitted by law, any overdue interest, shall bear interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted under Florida law (the "Default Rate"), accruing daily from the date of default until the default is fully cured or the indebtedness is paid in full.
1.4 Usury Savings Clause. It is the intention of Maker and Holder to comply strictly with the usury laws of the State of Florida. Accordingly, notwithstanding any provision to the contrary in this Note, the aggregate rate of interest charged or collected hereunder shall under no circumstances exceed the maximum rate permitted by applicable law. If any provision of this Note results in the collection of interest in excess of the maximum legal rate, such excess amount shall be applied automatically to the reduction of the principal balance (or refunded to Maker if the principal has been paid in full), and the provisions hereof shall be deemed automatically reformed to comply with maximum legal limits.
2. Repayment Terms & Maturity
2.1 Maturity Date. The entire unpaid principal balance of this Note, together with all accrued and unpaid interest and any other fees or charges due hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date").
2.2 Installment Payments. Maker shall repay the indebtedness evidenced by this Note in [Number of Installments] [Monthly/Quarterly/Weekly] installments of [Installment Amount in USD] U.S. Dollars each, commencing on [First Payment Date], and continuing on the same day of each successive [month/quarter/week] thereafter until the Maturity Date, at which time all remaining sums due under this Note shall be paid in full.
2.3 Application of Payments. All payments made on account of this Note shall be applied first to the payment of any collection costs, expenses, or late charges incurred by Holder, second to the payment of accrued and unpaid interest, and third to the reduction of the outstanding principal balance.
2.4 Method of Payment. All payments of principal and interest shall be made in lawful money of the United States of America in immediately available funds via wire transfer, ACH, or check delivered to Holder’s address set forth above, or at such other place as Holder may designate in writing to Maker.
3. Prepayment Privileges
3.1 Right to Prepay. Maker shall have the right to prepay the outstanding principal balance of this Note, in whole or in part, at any time and from time to time, without premium or penalty. 3.2 Notice and Application. Any prepayment of principal shall be accompanied by all accrued and unpaid interest on the principal amount being prepaid through the date of prepayment. Partial prepayments shall not postpone the due date of any subsequent scheduled installments unless expressly agreed to in writing by Holder.

4.3 Insolvency and Bankruptcy. Maker files a voluntary petition in bankruptcy; is adjudicated bankrupt or insolvent; files any petition or answer seeking any reorganization, arrangement, composition, readjustment, liquidation, dissolution, or similar relief under any federal, state, or other bankruptcy or insolvency law; or makes an assignment for the benefit of creditors.
4.4 Involuntary Proceedings. An involuntary petition or proceeding is filed against Maker under any bankruptcy or insolvency law, and such petition or proceeding is not dismissed, stayed, or vacated within sixty (60) days of filing.
5. Acceleration and Remedies
5.1 Acceleration. Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been cured), Holder may, at its option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by Maker. 5.2 Remedies Cumulative. The remedies of Holder provided herein, or otherwise available at law or in equity, shall be cumulative and concurrent, and may be pursued singly, successively, or together against Maker, any guarantor, or any collateral securing this Note, at the sole discretion of Holder. 5.3 Cost of Collection and Legal Fees. If this Note is placed in the hands of an attorney for collection after default, or if suit is instituted to collect this Note or enforce any of Holder's rights hereunder, Maker promises to pay all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, paralegal fees, and court costs incurred by Holder, whether incurred at trial, on appeal, in bankruptcy proceedings, or otherwise.
6. Waivers and Consents
6.1 Waiver of Presentment and Notice. Maker, and all endorsers, sureties, and guarantors of this Note, severally waive presentment for payment, demand, notice of dishonor, protest, notice of protest, notice of intent to accelerate, and notice of acceleration. 6.2 Extension of Time. No release of any security for this Note, no extension of time for the payment of this Note, and no alteration, amendment, or waiver of any provision of this Note granted by Holder to Maker shall release, discharge, modify, change, or affect the liability of Maker or any endorser, surety, or guarantor.

If such modification is not possible, the affected provision shall be deemed deleted. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions hereof. 8.2 Amendments and Waivers. No amendment, modification, or discharge of this Note, and no waiver of any provision hereof, shall be valid unless set forth in a writing signed by the party against whom enforcement of such amendment, modification, discharge, or waiver is sought. 8.3 Binding Effect. This Note shall be binding upon Maker and its successors, heirs, executors, administrators, and permitted assigns, and shall benefit Holder and its successors, endorsees, and assigns. 8.4 Captions and Headings. The section headings and captions appearing in this Note are for convenience of reference only and shall not define, limit, construe, or describe the scope or intent of any provision hereof. 8.5 Time of the Essence.
