RECITALS
WHEREAS, the Maker desires to finance the educational tuition, fees, and related institutional costs associated with enrollment at the School for the academic term(s) of [Academic Term/Year]; and
WHEREAS, the School agrees to extend credit to the Maker in the principal sum specified herein under the terms, covenants, and conditions hereinafter set forth;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the receipt and sufficiency of which are hereby acknowledged, the Maker unconditionally promises to pay to the order of the School the Principal Amount, together with interest and applicable fees, strictly in accordance with the terms of this Note.
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1. Principal Amount and Disbursement
For value received, the Maker unconditionally promises to pay to the order of the School the principal sum of $[Amount in USD] (the "Principal Amount"), representing unpaid tuition and educational fees for the academic program or term commencing on [Term Start Date] and concluding on [Term End Date]. The Principal Amount shall be disbursed directly to the student account ledger maintained by the School on behalf of the Maker.
Section 2. Interest Rate and Accrual
The unpaid principal balance of this Note shall bear interest at a fixed annual rate of [Interest Rate, e.g., 5.5]% (the "Interest Rate"). Interest shall commence on the [Effective Date] and shall be calculated on the basis of a 365-day year and the actual number of days elapsed. Interest shall continue to accrue on any overdue principal and, to the extent permitted by applicable law, on any overdue interest, until the entire obligation evidenced by this Note is paid in full.
Section 3. Payment Terms, Amortization, and Schedule
The Maker shall repay the Principal Amount, together with accrued interest, in consecutive installments as set forth below:
- Repayment Structure: [Select one: Monthly installments of $[Installment Amount] / Lumpsum payment on a specific date].
- First Payment Due Date: [First Payment Date].
- Subsequent Payment Due Dates: The [Day of the Month, e.g., first] day of each successive calendar month thereafter until fully amortized.
- Maturity Date: The entire outstanding principal balance, all accrued and unpaid interest, and all late charges and collection costs shall be due and payable in full on [Maturity Date] (the "Maturity Date").
All payments shall be made in lawful money of the United States of America to the School at its principal place of business or at such other address as the School may designate in writing from time to time. Payments shall be applied first to any accrued and unpaid late fees, second to accrued and unpaid interest, and the remainder to the reduction of the Principal Amount.
Section 4. Prepayment Privilege
The Maker reserves the right to prepay the principal amount outstanding under this Note, in whole or in part, at any time without penalty. Any partial prepayment shall be applied against the principal balance outstanding and shall not postpone the due date of any subsequent monthly installments unless expressly agreed to in writing by the School.
Section 5. Late Charges and Default Interest
If any monthly installment or other sum due under this Note is not received by the School within [Number, e.g., 10] calendar days of its scheduled due date, the Maker shall pay a late charge equal to [Percentage, e.g., 5]% of the overdue payment or $[Flat Fee Amount], whichever is greater, to cover the administrative costs of delinquency handling. To the maximum extent permitted by applicable law, upon the occurrence of an Event of Default (as defined herein), the entire unpaid principal balance shall bear interest at the lesser of the maximum rate permitted by law or [Default Interest Rate, e.g., 18]% per annum (the "Default Rate").
Section 6. Default and Acceleration
The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:
- Failure to Pay: The failure of the Maker to pay any principal, interest, late charge, or other fee within [Number, e.g., 15] days of the date when due;
- Breach of Covenants: The failure of the Maker to observe or perform any other covenant, condition, or agreement contained in this Note;
- Insolvency: The filing of a petition by or against the Maker under any bankruptcy, insolvency, or debtor relief law, or the appointment of a receiver, trustee, or liquidator for all or a substantial part of the Maker’s assets;
- Misrepresentation: Any financial statement, representation, or warranty furnished by or on behalf of the Maker to the School proves to have been materially false or misleading when made.
Upon the occurrence of an Event of Default, the School may, at its option and without notice or demand (notice and demand being expressly waived by the Maker), declare the entire unpaid principal balance of this Note, together with all accrued interest, late charges, and all expenses of collection, to be immediately due and payable.
Section 7. Academic Sanctions and Withholding of Records
In addition to all other remedies available to the School at law or in equity, upon the occurrence of an Event of Default, the School reserves the right to withhold institutional services, deny registration for subsequent academic terms, withhold official academic transcripts, withhold degrees, and deny access to campus facilities and learning management systems until the delinquent balance is paid in full.
Section 8. Costs of Collection and Legal Fees
If this Note is placed in the hands of an attorney for collection, or if suit is instituted to collect any amount due hereunder, or if this Note is enforced through any bankruptcy, probate, or other judicial proceeding, the Maker promises and agrees to pay all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, court costs, and collection agency commissions, whether or not litigation is formally commenced.
Section 9. Waivers by Maker and Co-Signers
The Maker, and any endorser, surety, or guarantor hereof, severally waive presentment for payment, demand, protest, notice of dishonor, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. The Maker consents to any and all extensions of time, renewals, releases of any party liable hereon, or modifications of the terms of this Note without releasing, discharging, or affecting the liability of the Maker.
Section 10. Representations and Warranties
The Maker represents and warrants to the School that:
- Capacity and Authority: The Maker has full legal capacity, power, and authority to execute, deliver, and perform this Note;
- Binding Obligation: This Note constitutes a legal, valid, and binding obligation of the Maker, enforceable against the Maker in accordance with its terms;
- Solvency: The Maker is not insolvent and is capable of meeting financial obligations as they fall due.
Section 11. Governing Law, Jurisdiction, and Venue
This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. The Maker irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County County, State], for any legal action, suit, or proceeding arising out of or relating to this Note.
Section 12. Severability
If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Note shall remain in full force and effect.
Section 13. Entire Agreement and Amendments
This Note constitutes the entire agreement between the School and the Maker with respect to the subject matter hereof and supersedes all prior discussions, negotiations, term sheets, or understandings.
