STEP-BY-STEP EXECUTION AND FILING GUIDE
- Drafting: Populate all bracketed fields (
[...]) using professional document processing software. Ensure the "Amount" matches the commitment letter. - Verification of Authority: If the Borrower or Lender is an entity (LLC, Corp), obtain a Resolution of the Board or Operating Agreement excerpt confirming the signatory’s authority to bind the entity.
- Notarization: Promissory notes secured by real estate often require notarization to be recorded alongside the Mortgage/Deed of Trust. Consult your local Clerk of Court/Recorder of Deeds.
- Digital Signature: If using DocuSign or Adobe Sign, ensure the "Audit Trail" feature is enabled to capture IP addresses and timestamps for each signer.
- Recording: The Security Instrument (Mortgage/Deed of Trust) must be recorded in the Land Records office of the county where the property is located to perfect the Lender's lien. The Promissory Note is usually held by the Lender and not recorded (to protect the Borrower’s financial privacy), unless local custom dictates otherwise.
- Retention: Maintain the original "wet ink" Note in a fireproof, secure safe or a bonded vault. If the Note is sold or assigned, a formal "Allonge" must be attached to the original document.
