5. STEP-BY-STEP EXECUTION & FILING GUIDE
- Field Completion: Open the document in Microsoft Word or Google Docs. Use the "Find and Replace" function to populate all bracketed fields (e.g.,
[Borrower Full Legal Name]). Ensure the Interest Rate complies with local usury caps. - Verification of Authority: If the Borrower is a business entity, verify the signatory has the corporate authority to bind the entity (e.g., Board Resolution or Operating Agreement authorization). If an individual, ensure their legal name matches government-issued identification.
- Digital Signature Protocol: Utilize an enterprise-grade electronic signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). These platforms generate a tamper-evident audit trail, which is essential for proving the authenticity of the Note in future litigation.
- Security Interests: If this Note is meant to be secured (e.g., by collateral), this document must be accompanied by a separate Security Agreement and, where applicable, a UCC-1 Financing Statement filed with the Secretary of State.
- Record Retention: The original executed version (digital or wet-ink) must be maintained in the Lender’s permanent financial records. The Borrower should retain a duplicate copy for their tax and accounting files. It is recommended to keep these records for at least seven (7) years post-payment.
