RECITALS

WHEREAS, Provider is engaged in the business of providing professional, technical, and operational services relating to project management, software development, consulting, and associated deliverables;

WHEREAS, Client desires to retain Provider to perform such services, and Provider desires to perform such services for Client, subject to the terms and conditions set forth in this Agreement and each mutually executed Project Scope Statement;

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Project Requirements

1.1 Engagement and Services. Provider shall perform the professional services, engineering tasks, operational deliverables, and project milestones (collectively, the "Services") as set forth in this Agreement and in one or more mutually agreed-upon Statements of Work or Project Scope Requirements templates (each, an "SOW"), which shall be substantially in the form attached hereto as Exhibit A. Each SOW shall expressly reference this Agreement and shall be deemed incorporated herein by this reference.

1.2 Project Scope Requirements. Each SOW shall exhaustively detail: (a) specific functional, technical, and operational requirements; (b) designated project milestones, delivery schedules, and timeline dependencies; (c) acceptance criteria and testing protocols; and (d) specific resource allocations and designated personnel responsibilities.

1.3 Change Orders. If either Party identifies a requirement for any modification, addition, or reduction to the Services or project scope defined in an active SOW (a "Change"), such Party shall submit a written change request to the other Party. Provider shall evaluate the Change and provide a written estimate of the impact on fees, timelines, and deliverables (a "Change Order"). No Change shall be binding upon the Parties unless formalized in a written Change Order executed by the authorized representatives of both Provider and Client.

1.4 Client Cooperation. Client shall provide timely access to necessary facilities, technical environments, documentation, data, and designated decision-making personnel as reasonably required by Provider to perform the Services. Any delay in the performance of Services resulting directly from Client's failure to satisfy its cooperative obligations or deliver required inputs shall extend project timelines on a day-for-day basis and shall not constitute a breach of this Agreement by Provider.

2. Compensation & Payment Terms

2.1 Fees and Compensation. In consideration for the full, prompt, and satisfactory performance of the Services, Client shall pay Provider the fees set forth in the applicable SOW, which may be structured as time-and-materials, fixed-fee milestone payments, or a hybrid model, totaling no less than [Amount in USD] USD, unless modified via an executed Change Order.

2.2 Invoicing and Payment Schedule. Provider shall issue invoices to Client in accordance with the billing schedule set forth in the applicable SOW. If no schedule is specified, Provider shall invoice Client on a monthly basis in arrears for Services rendered and expenses incurred. All undisputed invoices shall be due and payable by Client within thirty (30) calendar days from the date of receipt of the invoice (the "Due Date"). Payments shall be made in United States Dollars via wire transfer or ACH to the bank account designated in writing by Provider.

2.3 Late Payment and Interest. If Client fails to pay any undisputed invoice by the Due Date, such overdue amount shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date-due until paid in full. Furthermore, Provider reserves the right, upon ten (10) business days' prior written notice to Client, to suspend the performance of any ongoing Services until all delinquent, undisputed balances and accrued interest are paid in full.

2.4 Taxes. All fees and compensation amounts exclusive of all sales, use, value-added, excise, and withholding taxes, or any other federal, state, or local taxes or duties arising out of this Agreement (excluding taxes based solely upon Provider’s net income). Client shall be solely responsible for the payment of all such applicable taxes, duties, and governmental assessments associated with the Services.

3. Term & Termination

3.1 Term of Agreement. This Agreement shall commence as of the Effective Date and shall continue in full force and effect for a period of [Number] years, unless earlier terminated in accordance with the provisions of this Section 3. Individual SOWs shall govern the specific duration of active projects thereunder.

3.2 Termination for Convenience. Client or Provider may terminate this Agreement, or any individual SOW, for any reason or no reason, upon providing sixty (60) calendar days' prior written notice to the other Party. Upon receipt of such notice, Provider shall immediately cease performance of the affected Services (unless the notice instructs otherwise) and take all reasonable steps to mitigate project wind-down costs.

3.3 Termination for Cause. Either Party may terminate this Agreement and any or all active SOWs immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement or an SOW and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the specific breach; (b) becomes insolvent, files or has filed against it a petition for bankruptcy under any chapter of the U.S. Bankruptcy Code or analogous foreign statute, makes an assignment for the benefit of creditors, or has a receiver or trustee appointed for a substantial portion of its assets; or (c) dissolves, liquidates, or ceases to conduct its business operations in the ordinary course.

3.4 Effect of Termination. Upon expiration or termination of this Agreement or any SOW for any reason: (a) Client shall promptly pay Provider all unpaid, undisputed fees and documented out-of-pocket expenses incurred up to the effective date of termination, including any non-cancellable commitments made by Provider in reliance on active SOWs; (b) each Party shall promptly return or destroy (and certify destruction of) all Confidential Information belonging to the other Party in accordance with Section 6; and (c) Sections 4, 5, 6, 7, 8, 9, and 10 shall survive any expiration or termination of this Agreement.

4. Intellectual Property Ownership & Work Made for Hire

4.1 Provider Pre-Existing Intellectual Property. All software, algorithms, methodologies, documentation, know-how, templates, designs, and other intellectual property created, acquired, or developed by Provider independently of this Agreement, or licensed from third parties prior to or outside the scope of this Agreement (collectively, "Provider IP"), shall remain the sole and exclusive property of Provider. Nothing herein shall be construed to transfer any right, title, or interest in Provider IP to Client.

4.2 Client Data and Property. All data, records, files, software, branding, and proprietary information provided by Client to Provider for the execution of the Services (collectively, "Client Data") shall remain the sole and exclusive property of Client. Client grants Provider a limited, non-exclusive, revocable license to access, process, and use Client Data solely as necessary to perform the Services during the term of this Agreement.

4.3 Deliverables and Work Product. Subject to full payment of all applicable fees due under the relevant SOW, all custom deliverables, code, designs, documentation, and specific work product created by Provider expressly for Client pursuant to an SOW (collectively, the "Deliverables") shall be deemed "work made for hire" under the copyright laws of the United States. To the extent that any such Deliverable does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Deliverables, including all intellectual property rights therein.

4.4 License to Provider IP in Deliverables. To the extent that any Deliverables incorporate, embed, or are dependent upon any Provider IP, Provider hereby grants to Client a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, execute, reproduce, and display such Provider IP solely as an integrated, non-severable component of the delivered Deliverables for Client's internal business operations.

5. Representations & Warranties

5.1 Mutual Representations and Warranties. Each Party represents and warrants to the other that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation; (b) it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder; (c) the execution, delivery, and performance of this Agreement have been duly authorized by all necessary corporate action; and (d) this Agreement constitutes a legal, valid, and binding obligation, enforceable against it in accordance with its terms.

5.2 Provider Services Warranty. Provider warrants that the Services shall be performed in a professional, workmanlike manner, in accordance with generally accepted industry standards and practices. Client’s sole and exclusive remedy, and Provider's entire liability, for any breach of this warranty shall be for Provider, at its option, to re-perform the non-conforming Services or to refund the fees paid for the specific non-conforming Services, provided that Client notifies Provider in writing of such non-conformance within thirty (30) calendar days of completion of the affected Services.

5.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 5, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICES, DELIVERABLES, OR PROVIDER IP. PROVIDER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

6. Mutual Confidentiality & Non-Disclosure

6.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally or in written, electronic, or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial data, customer lists, source code, technical specifications, operational methodologies, and trade secrets.

6.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect and safeguard the confidentiality of all Confidential Information of the Disclosing Party with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care; (b) not use the Disclosing Party’s Confidential Information for any purpose outside the scope of this Agreement; and (c) not disclose any such Confidential Information to any person or entity, except to its employees, contractors, legal counsel, and financial advisors who need to know such information to perform obligations under this Agreement and who are bound by confidentiality obligations at least as restrictive as those set forth herein.

6.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure without an obligation of confidentiality; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party’s Confidential Information; or (d) is rightfully received from a third party without duty of confidentiality.

6.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permitted, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

7. Limitation of Liability & Indemnification

7.1 Consequential Damages Waiver. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 6 (CONFIDENTIALITY), INTELLECTUAL PROPERTY INFRINGEMENT, OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, REPUTATION, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Aggregate Liability Cap. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 6 (CONFIDENTIALITY), GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THE SPECIFIC SOW GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.3 Indemnification by Provider. Provider shall defend, indemnify, and hold harmless Client, its affiliates, officers, directors, and employees from and against any third-party claims, suits, actions, or proceedings (each, a "Claim"), and all resulting losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees), to the extent arising out of or resulting from: (a) any allegation that the Deliverables or Provider IP infringe, misappropriate, or violate any third-party copyright, trademark, trade secret, or U.S. patent; or (b) the gross negligence or willful misconduct of Provider, its employees, or subcontractors in the performance of the Services.

7.4 Indemnification by Client. Client shall defend, indemnify, and hold harmless Provider, its affiliates, officers, directors, and employees from and against any third-party Claims, and all resulting losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees), to the extent arising out of or resulting from: (a) Client Data, or the use thereof by Provider in accordance with this Agreement, infringing or violating any third-party intellectual property or privacy right; or (b) the gross negligence or willful misconduct of Client, its employees, or agents.

7.5 Indemnification Procedures. Each indemnification obligation is conditioned upon the indemnified party: (a) providing prompt written notice of the Claim to the indemnifying party (provided that failure to give prompt notice shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced thereby); (b) granting the indemnifying party sole control over the defense and settlement of the Claim (provided that the indemnifying party shall not settle any Claim that requires an admission of liability or financial contribution by the indemnified party without its prior written consent); and (c) providing reasonable cooperation and assistance, at the indemnifying party's expense, in the defense of the Claim.

8. Dispute Resolution & Arbitration

8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity (a "Dispute"), the designated senior executives of each Party shall negotiate in good faith for a period of thirty (30) calendar days to resolve such Dispute. If the Dispute is not resolved through executive negotiation within thirty (30) calendar days, either Party may initiate binding arbitration pursuant to Section 8.2.

8.2 Binding Arbitration. Any Dispute that remains unresolved following the negotiation period set forth in Section 8.1 shall be settled by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with such rules. The place of arbitration shall be [City, State], and all proceedings shall be conducted in the English language. The arbitrator’s award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction thereof.

8.3 Injunctive Relief. Notwithstanding anything to the contrary in this Section 8, either Party may seek temporary, preliminary, or permanent injunctive relief or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information without being required to post bond or first exhaust administrative negotiation or arbitration procedures.

9. Governing Law & Jurisdiction

9.1 Governing Law. This Agreement, and all claims, causes of action, or disputes arising out of or relating to this Agreement, whether sounding in contract, tort, or statute, shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [State], without regard to its conflict of laws principles.

9.2 Jurisdiction and Venue. Subject to Section 8 (Dispute Resolution & Arbitration), each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located in [County], [State] for any legal action, suit, or proceeding arising out of or relating to this Agreement.

10. Miscellaneous

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Agreement, and the remaining provisions shall remain in full force and effect.

10.2 Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution and delivery of this Agreement or any SOW via facsimile, PDF, or secure electronic signature platform (e.g., DocuSign, Adobe Sign) shall constitute valid and binding execution.

10.3 Entire Agreement. This Agreement, together with all attached exhibits and mutually executed SOWs, constitutes the sole and entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

10.4 Force Majeure. Neither Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any obligation under this Agreement when and to the extent such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national emergency, pandemic, embargoes, strikes, or other labor disputes, or electrical, internet, or telecommunication network outages beyond the reasonable control of the affected Party ("Force Majeure Event"). The affected Party shall give prompt written notice to the other Party, stating the period of time the occurrence is expected to continue, and shall use commercially reasonable efforts to resume performance as soon as practicable.
